Application may be made to the Registrar for the incorporation of a company by filing: ⬇️🌺

(a) a memorandum complying with Regulation 9 that is signed by the proposed initial member(s) of the company;
b) articles complying with these Regulations that are signed by the proposed initial member(s) of the company;
(c) a document in the approved form signed by the proposed registered agent signifying his consent to act as registered agent;
(d) if the company is to be incorporated as a segregated portfolio company, the written approval of the Registrar given under Regulation 140;
(e) a document in the approved form containing the full name and address of each of the initial member(s);
(f) a document in the approved form containing the full name and address of each proposed director signed by the proposed director signifying his consent to act as a director; and
g) such other documents as may be prescribed by the Registrar from time to time.

An application for the incorporation of a company may be filed only by the proposed registered agent and the Registrar shall not accept an application for the incorporation of a company filed by any other person. 👍👍

For the purposes of this Regulation, the “proposed registered agent” means the person named in the memorandum as the first registered agent of the company.👍🌺

HOW TO COUNT PENALTY FOR LATE RENEWAL ⁉️

1️⃣The company that is due for renewal must be renewed whithin a time frame of 2 calendar months (grace period) from the date of expiery.

2️⃣Applying after grace period of 2 months, the entity will be subject of to a penalty on graduated scale as per schedule below:

3rd month: renewal fee+ 10%
4th month: renewal fee+ 25%
5th month:renewal fee+50%
6th month: the strike off notice will be issued to the entity . 👍✔️
