Clauses I think are counterproductive in a builder's subcontract:

1. any clause that is a precondition to payment/precondition to a reference date arising.

2. clauses that say the subcontractor will only be paid the value of a variation the builder gets approved under the head contract, or that the builder doesn't have to pay a subbie until they get paid under the head contract.

3. defects liability periods or practical completion clauses tied to the head contract - particularly if retention release flows from these clauses.

4. 0% interest on overdue payments (or a lower amount than the interest available under Security of Payment laws).

These are clauses that are likely to be void under Security of Payment laws in Australia, for contracting out, or pay when paid clauses.

If you want to spend less time having contract departure meetings, remove the clauses you're unlikely to be able to rely on, or that make you look bad. This leaves more negotiation currency (and brain cells) for the talking points that will actually help the parties build better buildings.

What your builder really means when they reject your contract departures is usually one of three things:

“We don’t want to… unless you give us a good reason.”

“This is more work than I want to do to get this over the line.”

(The one they won’t say out loud)
“I don’t really understand these clauses and I’m out of my depth discussing them.”

Problem is… most subbies are in the same boat.
But when things go bad, it’s your money on the line - not the builders.
