PRE-SCHOOL LICENSING
REQUIREMENTS & PROCESSES FOLLOWED
• Look for a land with civic and community land use permit.
• Applicants should be Botswana Nationals only
• Make sure premises suit day care center operation; the building should have classrooms, office for administrative use, kitchen, store-room for food with shelves and store room for equipment and materials, sick-bay where sick children will be isolated and junior toilets. There should also be provision for staff toilets.
• Classrooms should be large enough, 1.5m²:1 kid.
• Office should be used for administrative issues only.
• The kitchen should have all necessary facilities including storage facilities like refrigerator, cupboards, food storages, and microwave.
• Sick-bay should be in an isolated area and should only have bed and mattress and other necessities for the room.
• A junior toilet to children ratio is 1:15. Hand washing basins and soap dispensers should be available. Children’s toilets should be divided according to Gender and should be demarcated for privacy.
• The facility should have indoor and outdoor play areas.
• Ensure that the center has a variety of age appropriate indoor and outdoor playing and educational materials. Outdoor playing equipment should be in an area with sand base and net shade.
• Ensure that safety equipment is available; fire extinguishers and first aid kit etc.
SERVICE PROVIDERS IN DAY CARE CENTRE
• People trained in early childhood care and education should be employed. A center shall have at least 1 trained teacher and 1 teaching assistant per class. Trained teachers are those who have certificate or above in early childhood care & education or infant education or primary education.
• The school should also hire a cook who should go through a food handlers test (see Environmental health Department)
All qualified teachers should be screened and should acquire a permission to teach from the Ministry of Education.
PROCESS FOLLOWED:
• Submission of documents by applicant (completed application form, land use permit, building plans, staff documents, proposal, school activity schedule, menu, list of school furniture and educational equipment)
• Inspection by Fire Department, feedback & correction of inadequacies
• Inspection by Home Economist, inspection feedback & correction of inadequacies.
• Inspection by Health Inspector, feedback & correction of inadequacies.
• Presentation of application to SUB- COMT.
• Presentation of application to COMT.
• Presentation to S&CD SERVICES COMMITTEE
• Feedback to applicant.
• Licensing if approved.
NB: The Management of the school should see to it that booking of inspections with various departments is done well in time to ease the process of licensing.

MANUFACTURING LICENCE

Manufacturing licences are governed by the Industrial Development Act of 2006 and the Industrial Development Regulations of 2008. According to the Act, all manufacturing enterprises are required to have an industrial/manufacturing licence, issued by the Industrial Licensing Authority (ILA) and the Regional Licensing Committee. These licences are valid for an indefinite period subject to compliance with the conditions upon being issued.

Steps in Obtaining a Manufacturing/Industrial Licence
Several steps are required for a manufacturing/industrial licence, some of which can be carried out concurrently:

An executive business summary
Confirmation of zoning permission
Completing an environmental impact assessment (EIA)
Payment of application fees and submission of application form to the Department of Industrial Affairs or Municipality/Council
Consideration of the application by the ILA or Regional Licensing Committee
Communication of the decision
If decision is positive, payment of licence fees
Issuance of provisional licence or indefinite industrial licence
Requirements for Obtaining a Manufacturing/Industrial Licence
The following are requirements in applying for an industrial licence:

Business background or executive summary
Completed application Form AIL 1, in duplicate for each company.
Proof that the company is registered in Botswana – Copy of the certificate of incorporation,
Detailed description of the companies production process to indicate how each product will be produced, including answers to environmental effects questions listed on additional information sheets
Complete Environmental Impact Assessment (EIA)
Satisfactory Environmental Health Inspection and Food Control clearance reports from the relevant council
Zoning report from the Physical Planning Officer
Lease agreement between the lessor and the lessee/letter from the landlord showing their intention to lease out the plot
Certified true copies of valid work and residence permits (foreign investors/shareholders)
Certified copies of Omang (citizens) and passports (foreigners) for all shareholders
Commitment letter from a Department of Waste Management and Pollution Control approved waste collector and for sales of offcuts/by-products, a commitment letter from the buyer
Payment of P50.00 administrative fee
Once approved payment of P200.00 licence fee upon collection
All licensing committee meetings are held on a weekly basis and applicants are advised to file their applications well in advance of these meetings, assuring inclusion of the agenda.

Payment of Annual Fees for Manufacturing/Industrial Licence
Manufacturing Licences attract an annual fee. The following requirements apply when paying the annual fee:

Form AIL 1
Proof of health inspection
Proof of last payment
Copy of indefinite industrial licence
Copy of annual returns
Payment of P200.00 annual fee
Application for a Licence to Manufacture New Products or Additional Products
Requirements:

Completion of form AIL 2 in duplicate
Proof of last payment
Certified copy of indefinite industrial licence
Environmental health report
Payment of P50.00 administrative fee
Payment of P200.00 application fee
Application for a Licence to Manufacture on Additional Premises
Requirements:

Completion of form AIL 1 in duplicate and form AIL 3
Proof of last payment
Certified true copy of indefinite industrial licence
Environmental health report
Physical Planning report confirming zoning

TYPES OF BUSINESSES IN BOTSWANA

When you go into business, you need to choose a structure for your business that suits the way you do business and the type of business activity that you do.

Choosing a structure for your business
There are two structures for businesses in Botswana — business names and companies.

When selecting the right structure for your business, please consider the following:

The size of your business and operations.
Your share of profits
Your degree of ownership and accountability
Your legal liability
Funding options
If you are unsure which structure to choose, seek professional advice from an accountant, lawyer or company secretary before you make a decision.

Types of companies
When you set up a company, you are creating a separate legal body to carry on business. A company can do many of the same things as an actual person — hold property in its own name, enter contracts, sue and be sued.

All companies incorporated in Botswana have the same basic elements:

a company name
at least 1 shareholder and 1 director
contact addresses.
There are several different types of companies. You need to choose one that suits your business model.

Private Company
A private company is formed with the intention of making a profit, and has a maximum of twenty-five (25) shareholders. This type of company does not make any offer to the public to subscribe to its shares or debentures. The name of a private company ends with (Proprietary) Limited, e.g. Carbo (Proprietary) Limited.

Public Company
A public company has an unlimited number of shareholders (any number) and is usually listed with the Botswana Stock Exchange. The shares of a public company are made available to the public for sale. A public company is identified with a designation of ā€˜Limited’ at the end of the name, e.g. ROC Limited.

A Close Company
A close company is formed by one or more individuals, not exceeding five, who qualify for membership. No corporate body or trustee shall directly or indirectly hold a member’s interest in a close company. Every person who is to become a member upon registration shall make to the company an initial contribution of money, property, or services rendered in connection with the purposes of the formation and incorporation of the company. It may not be established for or carry on business of banking, or insurance but may otherwise be formed to carry out any lawful business. The designation ā€˜CC’ must be added to the name. e.g. C**A CC.
