Carina Wessels presenting on ‘Navigating the complex landscape of corporate governance failures.’ Some of her examples shed light on the dark side a charismatic CEO as it can dilute judgement and is addictive.

Also, a common characteristic of governance failures with a charismatic leader
at the centre is lack of governance and poor board composition: A weakened board / board
of loyal followers that failed to check the CEO's power.

Dr. Mukuna spoke at length on Board of Directors Code of Conduct, even posing a question on leadership styles, “are you the kind of CEO that can have tea with a cleaner in your office?”

He further highlighted some of the challenges of corporate governance reported by Government of Botswana Forensics Audit Report produced in 2026:

1. Weak oversight mechanisms
2.Ineffective control instructions

Moreover he praised Botswana Accountancy Oversight Authority on their reporting skills as best practice.

Further encouraging that best practice promotes;

Conflict resolution and professional treatment, confidentiality on price sensitive information, compliance with fiduciary duties i.e, avoid conflict of interest.
