A business can be profitable and still be difficult to sell.

That is the part most owners do not realize until someone starts looking deeper.

Revenue matters.

The silver tsunami is coming… what are you going to do about it?

The truth is that the deal rarely dies in the meeting.

It dies when the buyer starts checking the facts.

Messy financials.
Owner dependency.
Weak systems.
Customer concentration.
Earnings that are difficult to verify.

This is what due diligence exposes.

Buyers are not just asking whether the business makes money, they are asking whether the profit is reliable, transferable, and likely to continue after the owner leaves.

And here’s the thing… by the time those weaknesses appear, the buyer may already be either walking away, or significantly lowering the price because of the increased perceived risk.

We always tell our clients, the best time to fix diligence is months before the business goes to market.
