📢 Glass Lewis Publishes 2025 UK and ESG Policy Guidelines! 🌍📋

Glass Lewis (GL) has just released its 2025 Benchmark Policy Guidelines, set to take effect in January 2025. These guidelines, which also impact companies listed in Ireland, address critical areas like board diversity, AI oversight, and shareholder proposals, ensuring companies meet evolving governance and ESG expectations.

📝 Key Updates to the UK Guidelines:

1️⃣ Chair Tenure: GL has adopted a case-by-case approach for board chairs exceeding 9 years of tenure, allowing flexibility if a rationale is provided.
2️⃣ Board Diversity:

GL will recommend against re-election of chairs in boards failing to meet diversity benchmarks:

Gender Diversity: At least 33% for FTSE 350 boards.

Ethnic Diversity: At least one ethnic minority director for FTSE 250 boards.
3️⃣ Executive Pensions: GL expects pension contribution rates for executives to align with those of the wider workforce.
4️⃣ AGM Procedures: Clear voting breakdowns and addressing shareholder concerns at virtual AGMs are now crucial for GL’s support.

🔍 Spotlight on AI Governance:

GL now expects companies using or developing AI to provide clear board-level oversight disclosures. In cases where AI mismanagement harms shareholders, GL may recommend voting against directors accountable for inadequate responses or oversight.

🌐 Other Notable Amendments:

Hybrid Incentive Plans: Companies must justify adopting hybrid models and disclose peer comparisons.

S**C Oversight: Includes stricter expectations on executive affiliations and directorship limits post-combination.

The EU Council has just approved groundbreaking new regulations to ensure transparency, consistency, and comparability in ESG (Environmental, Social, and Governance) ratings. These changes aim to boost investor confidence in sustainable financial products while promoting integrity across the industry.

Transparency: ESG rating providers must disclose their methodologies and sources.

Supervision: Providers in the EU will be authorised and monitored by the European Securities and Markets Authority (ESMA).

Conflict Prevention: A strict separation of business activities to avoid conflicts of interest.

Global Alignment: Non-EU providers need to meet strict EU standards to operate in the region.
