Limited Liability Partnership (LLP)- 3rd Installment

Registration of a new LLP- What's needed?

1. Name of the proposed LLP. OK that's obvious!
2. General nature and the proposed business of the LLP.
3. The proposed Registered Office of the LLP. This can be your Company Secretary's office.
4. Full details of all parties who are to be partners in the LLP. The usual Name , copy of Identity card, current postal address if different from IC.
5. The proposed individual who is to be designated as the Compliance Officer. This can be your Company Secretary.
6. If the proposed LLP is for the purposes of carrying on a professional practice, an approval letter from the governing body of that profession shall accompany the application. (First Schedule, LLP Act 2012)
7. Any other information specifically requested by the Registrar.
8. An LLP registration must be done by the Compliance Officer duly appointed by the LLP.

Compliance Officer- Criteria & Responsibilities

1. A person qualified to be a Company Secretary (Companies Act 1965) or one of the partners of the LLP.
2. Minimum of 18 years of age
3. Citizen or permanent resident o Malaysia
4. Ordinarily resident in Malaysia
5. Responsible for lodging and submitting documents on behalf of the partners of the LLP (Regulation 6, LLP Regulations 2012)
6. Registering changes as the occur in the LLP (S.17 LLP Act 2012)
7. Maintain registers and statutory documents at the registered office ( S.19 LLP Act 2012)
8. Publish name and registered number outside the registered office (S.20 LLP Act 2012)
All other matters required by the registrar to be done pursuant to LLP Act 2012 and/or LLP Regulations 2012.

As you can see the duties and responsibilities of the Compliance Officer can be onerous which is why it could be easier to leave that responsibility with perhaps the Company Secretary.

Limited Liability Partnership (LLP) - 2nd Installment

What are the key features of an LLP?
1. An LLP is a body Corporate and has a legal presence very apart from its partners or promoters, i.e a separate legal entity.
2. In that sense an LLP can act in its own name, capable of suing and being sued, it can acquire, own hold, develop or dispose of property.
3. It may do and also suffer such other matters that bodies corporate may legally do and incur or suffer the consequences.
4.Changes to the partners of an LLP will not in any way affect the rights, existence or liabilities of the LLP.
5.In essence an LLP has perpetual succession.
6. An LLP is different to a general partnership in that any debts and obligations of the LLP will be borne by the the LLP from its assets. In the case of general partnerships, the partners are jointly and severally liable with the firm.

How is an LLP different from a Company? The main differences are:
1. There are no issuance of shares. Partners contribution only
2. No requirement to hold an Annual General Meeting (AGM)
3. No need to submit financial statements to SSM
4. Financial Statements need not be audited
5. Flexibility in making decisions. No Board of Directors. Partners only
6. LLP- Minimum of 2 partners with no maximum number
7. Company- Minimum 2 and maximum 50 shareholders (Sdn. Bhd.)

An LLP provides limited liability status to its partners and offers the incredible opportunity for any form of internal arrangement that the partners desire to have amongst themselves in the conduct of the LLP.
What sort of businesses are suited for this LLP format?

Professional Practices (Accountants, Lawyers etc etc)
Small & Medium sized businesses
Joint Venture proposals
