Adding the word "ltd" or "limited" does not transform a registered business name into a company. It does not also make an unregistered business become a registered company.

A company can be awarded a contract and enter into binding agreements. On the other hand, a business name does not have such capacity under the law.

The only recognised means of registering a company is with the Corporate Affairs Commission.

A share capital can be likened to the start-up funds of the company. A share capital is the total money that all the shareholders have either invested or agreed to invest in the company. Under Nigerian law it is the promoter or first shareholders that determine the share capital of a company.

The minimum share capital of a private company is one hundred thousand Naira while that of a public company is two million Naira. For a private company (ltd) a single person can take the entire shares of the company. But a public company needs at least two individuals to take up the shares of the company.

Share capital is to a company what startup fund is to an entrepreneur.

A company has the ability and capacity to exist forever. This is possible because the death of a member of a company does not bring the business operation of the company to an end. Remember the company has a distinct legal status from its members. The heir of a deceased member can inherit the shares of the deceased member and become a member of the company.

New members can also be added to the company through the sale of the companyโ€™s shares as the business operation of the company expands. This unique process of acquisition and inheritance of company shares makes it possible for new members to replace old or deceased members of the company. The end result is that the company can exist in perpetuity.

Upon the registration of a company, all the members of the company become a corporate body. In other words, the company and its individual members are recognised as two distinct entities under the law capable of functioning independently of each other.

This distinct status of a company gives the company powers and abilities to function as an adult human being.
