Q1: Can I register a business with just my name, or do I need partners?
Answer: You can register a business alone! If you choose a Business Name (Sole Proprietorship) or a Private Limited Company (LTD), Nigerian law allows for a single proprietor or a single director/shareholder. You don't need to hunt for artificial partners just to get registered.
Q2: How long does the entire CAC registration process take?
Answer: On average, it takes between 5 to 10 business days once your preferred business name has been successfully reserved and approved. However, this timeline depends entirely on the portal's stability and having your documentation completely error-free from day one.
Q3: What is the difference between a Business Name and a Limited Liability Company (LTD)?
Answer: It boils down to liability and growth scale:
•Business Name: Best for small, low-risk setups. It is cheaper to register, but you and the business are legally viewed as one. If the business incurs debt, your personal assets can be used to pay it off.
•Limited Liability Company (LTD): The company is a separate legal entity. Your personal assets are protected, it looks more professional to corporate clients, and it allows you to bring in investors easily.
Q4: Will I get a Tax Identification Number (TIN) automatically after registration?
Answer: Yes! Thanks to the integrated system between the CAC and the Nigeria Revenue Service (NRS), your TIN is automatically generated alongside your Certificate of Incorporation. However, you will still need to formally activate your profile on the NRS TaxPromax platform to manage your monthly or annual tax filings.
Q5: I registered my business years ago but haven't done anything with it. Am I safe?
Answer: Not quite. Every registered business in Nigeria is required by law to file Annual Returns with the CAC to show the business is still active. If you fail to file these, your business status will be changed to "Inactive" on the public portal, and you will accumulate daily penalties that must be cleared before you can use the business for bank transactions or contracts.
