ANNUAL RETURNS ARE NOT THE SAME AS TAX.

CAC annual returns simply show that your company is still in existence and remains on the CAC register. Annual returns are filed with the Corporate Affairs Commission (CAC), usually once every year.
Whether your business is currently operating, making profit, or not, you may still be required to keep up with your annual return obligations.

Tax, on the other hand, is a separate obligation handled by the relevant tax authorities. So, compliance with the CAC is not the same thing as tax compliance.
If you fail to file your annual returns, your company may become inactive and you could face additional fees or other compliance issues.

The bottom line is simple: CAC annual returns and tax are two different things, and business owners need to understand both.

A limited liability company is owned by its *shareholders* (also called members).

However, the company itself is a separate legal entity from its owners:

* Shareholders own shares in the company* and benefit from its profits.
* Directors manage the company’s affairs* and make operational decisions.
* A person may be both a shareholder and a director.
* The *ultimate beneficial owner* is the individual who ultimately owns or controls the company, even if shares are held through another person or company.

So, if one person holds 100% of the shares, that person may be described informally as the company’s sole owner but legally, the company’s property and bank funds belong to the *company*, not personally to that shareholder.
