Enterprise value and equity value are not interchangeable—and confusing the two can materially affect your sale expectations. This article explains how debt, cash and deal structure influence the value a buyer sees and the proceeds an owner ultimately receives. For business owners preparing to sell within the next 12 months, getting this distinction right is essential to setting a realistic price, assessing offers and planning a stronger exit.

Normalised EBITDA is one of the most important figures in a business sale, but it’s often misunderstood. It adjusts reported earnings for genuine one-off costs, owner-specific expenses and other items that may not continue under a new owner. Getting the calculation wrong can distort valuation, undermine buyer confidence and leave money on the table. A disciplined approach gives owners a clearer view of value and a stronger foundation for negotiations.

Normalised earnings are central to a credible business valuation—but small adjustments can materially change the result. This practical guide explains how to separate sustainable profit from one-off costs, owner-specific expenses and other adjustments buyers will scrutinise. Get the calculation right, and you’ll have a clearer view of value, stronger buyer confidence and fewer surprises during due diligence.

Selling a business is a major decision, and the adviser you choose can materially affect the outcome. A business broker may suit a straightforward sale, while an M&A adviser is often the better fit for complex transactions, strategic buyers, or owners seeking a tailored exit plan. The key is matching the level of advice to your business, goals, valuation expectations, and appetite for risk. Understanding the difference helps you protect value, maintain control, and move towards a more confident sale.

If NZ supermarkets are making excessive profits, why hasn't Aldi entered the market?
It's an interesting question — particularly given Aldi's success in Australia.
In Part 1 of my supermarket series, I examined the Commerce Commission's $1 million-a-day excess-profit claim and found that NZ supermarket returns were broadly comparable with those of international operators.
So why are groceries often more expensive here?
The answer may have less to do with supermarket profit margins than we assume.GST, economies of scale, purchasing power, manufacturing costs and distribution efficiency all influence what consumers ultimately pay.
And Aldi's apparent decision not to enter New Zealand raises an important commercial question: are the returns available to a new competitor really as attractive as the profits earned by established operators might suggest?
Of course, barriers to entry may also be part of the explanation.
In Part 2: Why Are Groceries More Expensive in New Zealand Than Australia?, I explore these issues and what they mean for policies intended to lower grocery prices.
Are we focusing too heavily on supermarket profits and not enough on the underlying economics of supplying groceries? Learn more on: https://bit.ly/4eqvMlH

Thinking about buying a business? An acquisition search gives you a focused, strategic path to finding the right opportunity, while a business listing presents a company already on the market. Understanding the difference helps buyers assess fit, risk, value and timing before committing capital.
