AI won’t replace your company secretary, but it might just test your board’s governance integrity.

With AI tools increasingly used to draft board minutes, it's tempting to lean into efficiency. But the catch? The board’s judgment can’t be outsourced.

We’ve read the latest joint statement, 'Effective Board Minutes and the Use of AI' from Australian Institute of Company Directors and the Governance Institute of Australia, and our take is simple:
1. AI can support, but it should never lead.
2. Human oversight isn’t optional - it’s the foundation of integrity.
3. Draft minutes are just that. Drafts. The real value comes from the boardroom conversation, and that can’t be generated.

The recent Pharmac Workplace Culture Review is a wake-up call for boards across Aotearoa.

It highlights something we see often: when culture is treated as an operational issue rather than a governance priority, misalignment and mistrust creep in—and change becomes harder than it needs to be.

It’s easy to view culture as intangible, but the truth is: it should be as system-driven as finances or risk. As the review puts it, “systems are the means by which a business translates its policies and objectives into reality.” It should be measured, reviewed, and intentionally shaped by the board. That’s why it’s a key part of our Board Health Check and Culture Workshop offerings.

Culture isn’t a communications exercise. It’s a leadership responsibility.
