Inilabas ng Bureau of Internal Revenue (BIR) ang Revenue Memorandum Circular (RMC) Blg. 47-2026 noong Mayo 19, 2026, na nagtatakda ng mga bagong gabay upang gawing mas simple ang proseso ng pagsasara ng negosyo at pagkakansela ng rehistrasyon sa buwis, bilang bahagi ng implementasyon ng Republic Act No. 11976, na kilala rin bilang “Ease of Paying Taxes Act.”

“Ito ang aming ‘Ease of Closing Business’ na reporma,” sabi ni Commissioner Charlito Martin R. Mendoza. “Alinsunod sa direktiba ni Pangulong Ferdinand R. Marcos Jr. na gawing mas mabilis, mas maayos, at mas tumutugon ang mga serbisyo ng gobyerno, at sa pagtulak ni Finance Secretary Frederick D. Go na gawing mas kaaya-aya sa mamumuhunan at sa negosyo ang pangangasiwa ng buwis, pinapadali ng BIR para sa mga nagbabayad ng buwis na tumigil na sa operasyon na maayos na isara ang kanilang negosyo at kanselahin ang kanilang rehistrasyon.”

“Mula sa pagpapabuti ng ease of doing business at ease of paying taxes, kinukumpleto ng repormang ito ang suporta ng BIR sa mga negosyo sa bawat yugto ng kanilang lifecycle. Kung pinapadali natin ang pagsisimula at pagpapatakbo ng negosyo, dapat din gawing mas madali ng gobyerno ang maayos na pagsasara ng BIR registration kapag tumigil na ang operasyon,” dagdag pa niya.

Sa ilalim ng RMC Blg. 47-2026, ang mga nagbabayad ng buwis na tumigil na sa operasyon ay maaari nang mag-aplay para sa pagsasara o pagkakansela ng kanilang rehistrasyon, nang manual o elektroniko, sa Revenue District Office kung saan nakarehistro ang kanilang head office o branch.

Pinapasimple at pinag-iisa ng Circular ang mga dokumentaryong kailangan. Kasama ang application form at ang pagsuko ng orihinal na mga dokumento at permit na inisyu ng BIR sa negosyo, dalawang set ng dokumento na lamang ang kailangan isumite para sa pagsasara: ang listahan ng ending inventory ng mga paninda at supplies, kasama ang capital goods para sa mga VAT-registered taxpayers, at ang mga hindi nagamit na resibo, supplementary documents, at iba pang hindi nagamit na accounting forms, kasama ang kanilang inventory.

Sa ilalim ng bagong gabay, hindi na magkakaipon ng penalty para sa hindi paghahain ng tax returns kapag naisumite na ng nagbabayad ng buwis ang kumpletong dokumentaryong kailangan para sa pagsasara o pagkakansela ng rehistrasyon.

Upang maiwasan ang patuloy na pagdami ng open cases, ilalagay din sa “deregistered” status ang mga nakarehistrong form types ng nagbabayad ng buwis pagkasumite ng kumpletong requirements.

Gayunpaman, ang paghahain ng aplikasyon para sa pagsasara o pagkakansela ng rehistrasyon ay hindi pumipigil sa Bureau na magsagawa ng audit upang matukoy kung may natitirang obligasyon sa buwis.

Bukod dito, hindi na sasailalim sa mandatory audit ang mga micro taxpayers para sa pagsasara at/o pagkakansela ng rehistrasyon ng negosyo.

Dahil dito, ilalabas ang tax clearance sa loob ng tatlong (3) working days mula sa pagsumite ng kumpletong dokumentaryong kailangan para sa mga walang open cases o natitirang obligasyon.

Para sa mga micro taxpayers na may open cases, ilalabas ang tax clearance sa loob ng tatlong (3) working days mula sa pagsumite ng kumpletong dokumentaryong kailangan at pagbabayad ng natitirang obligasyon, kasama ang mga penalty.

Hinihikayat ni Commissioner Mendoza ang mga nagbabayad ng buwis na tumigil na sa operasyon na gamitin ang pinasimpleng proseso upang maiwasan ang patuloy na pag-iipon ng penalties at upang maayos na ma-update ang kanilang rehistrasyon sa Bureau.

𝗕𝗜𝗥 𝗟𝗔𝗨𝗡𝗖𝗛𝗘𝗦 “𝗘𝗔𝗦𝗘 𝗢𝗙 𝗖𝗟𝗢𝗦𝗜𝗡𝗚 𝗕𝗨𝗦𝗜𝗡𝗘𝗦𝗦” 𝗚𝗨𝗜𝗗𝗘𝗟𝗜𝗡𝗘𝗦 𝗙𝗢𝗥 𝗧𝗔𝗫 𝗥𝗘𝗚𝗜𝗦𝗧𝗥𝗔𝗧𝗜𝗢𝗡 𝗖𝗔𝗡𝗖𝗘𝗟𝗟𝗔𝗧𝗜𝗢𝗡; 𝗧𝗔𝗫 𝗖𝗟𝗘𝗔𝗥𝗔𝗡𝗖𝗘 𝗥𝗘𝗟𝗘𝗔𝗦𝗘𝗗 𝗔𝗦 𝗙𝗔𝗦𝗧 𝗔𝗦 𝗧𝗛𝗥𝗘𝗘 𝗗𝗔𝗬𝗦

The Bureau of Internal Revenue (BIR) issued Revenue Memorandum Circular (RMC) No. 47-2026 on May 19, 2026, prescribing new guidelines to simplify the process for closing businesses and cancelling tax registration, as part of the implementation of Republic Act No. 11976, otherwise known as the “Ease of Paying Taxes Act.”

“This is our ‘Ease of Closing Business’ reform,” Commissioner Charlito Martin R. Mendoza said. “In line with President Ferdinand R. Marcos Jr.’s directive to make government services faster, better, and more responsive, and Finance Secretary Frederick D. Go’s push to make tax administration more investor-friendly and business-friendly, the BIR is making it easier for taxpayers who have already ceased operations to properly close their business and cancel their registration.”

“From improving the ease of doing business and the ease of paying taxes, this reform completes the BIR’s support for businesses through every stage of the business life cycle. If we make it easier to start and operate a business, then the government must also make it easier to properly close BIR registration once operations have already ceased,” he added.

Under RMC No. 47-2026, taxpayers who have already ceased operations may now apply for the closure or cancellation of their registration, either manually or electronically, through the Revenue District Office where their head office or branch is registered.

The Circular simplifies and standardizes documentary requirements. Together with the application form and the surrender of original BIR registration documents and permits previously issued to the business, taxpayers will only be required to submit two other document sets for closure: the list of ending inventory of goods and supplies, including capital goods for VAT-registered taxpayers, and the unused invoices, supplementary documents, and other unutilized accounting forms, together with their inventory.

Under the new guidelines, penalties for non-filing of tax returns shall no longer accrue once the taxpayer submits the complete documentary requirements for the closure or cancellation of registration. To prevent the further accumulation of open cases, the taxpayer’s registered form types shall likewise be placed under “deregistered” status upon submission of the complete requirements. Filing an application for the closure or cancellation of registration, however, does not preclude the Bureau from conducting an audit to determine any outstanding tax liabilities.

In addition, micro taxpayers shall not be subject to mandatory audit for closure and/or cancellation of business registration. Hence, tax clearances will be issued within three (3) working days from submission of complete documentary requirements for those with no open cases or outstanding liabilities. For micro taxpayers with open cases, tax clearance will be issued within three (3) working days from the submission of the complete documentary requirements and the payment of outstanding liabilities, including penalties.

Commissioner Mendoza encouraged taxpayers who have already ceased operations to avail themselves of the streamlined process to avoid the continued accumulation of penalties and to properly update their registration records with the Bureau.
