A Qualified Institutional Buyer (QIB) is a sophisticated institutional investor, such as a mutual fund, insurance company, pension fund, commercial bank, or foreign institutional investor registered with regulatory bodies like SEBI in India or the SEC in the US, that meets specific financial and regulatory criteria.
These entities are deemed to possess the financial resources, expertise, and experience to evaluate complex securities and invest in capital markets without the same level of regulatory protection afforded to retail investors.
In business, QIBs play a crucial role by providing large-scale funding for companies through mechanisms like Initial Public Offerings (IPOs), where they are often allocated a significant portion of shares (up to 50% in India), and Qualified Institutional Placements (QIPs), which allow companies to raise capital quickly and efficiently.
Their participation enhances market stability, provides liquidity, and signals credibility to other investors, while also granting them advantages like better pricing, negotiation power, and access to exclusive investment opportunities such as private placements and restricted securities.
