One of the biggest misconceptions I encounter when talking with business owners about an exit is the assumption that selling means giving up the keys entirely and stepping away on day one.
It doesn't have to work that way, and frankly, the most successful transactions I've been involved in often don't.

Right now, we're seeing meaningful demand in the HVAC space from qualified buyers who are actively seeking structured partnerships where the seller stays involved for a defined period. These aren't distressed situations. These are well-run businesses with owners who want liquidity, reduced personal risk, and a thoughtful path toward retirement rather than a hard stop.
The structure looks different depending on the deal, but a common model includes:

Taking chips off the table through an initial buyout at closing
Retaining an equity stake to participate in future upside
Earning a salary for continuing to run or support operations during the transition
A defined timeline that gives both parties clarity and confidence

For buyers, this is highly attractive. It reduces transition risk, preserves relationships with key customers and employees, and gives them time to fully understand the business before operating independently.

For sellers, it often results in a higher multiple precisely because the deal structure is lower risk for the buyer.

The biggest mistake business owners make when selling isn’t valuation, it’s representation.

I regularly see good businesses sit on the market for 6–12 months after being listed with Brokers that do not truly specialize in proper valuation.

The pattern is almost always the same:

• inflated pricing to win the listing

• limited buyer screening and weak confidentiality controls

• little real marketing to qualified acquirers

• no guidance through due diligence, legal or financing

By the time those listings expire, momentum is gone and buyers start asking what is wrong with the business.

One reality many owners don’t realize: the strongest offers often come early, when a business is positioned correctly, priced based on real market data, presented with an informative marketing package and clean financials.
