A buyer looks at your books before they look at your business.

Erika Baez-Grimes on what happens when the records are a mess: "You're typically discounting businesses by thirty percent or more when the books are a wreck."

Not because the company is worth less. Because nobody can prove what it is worth.

Clean financials are not an accounting chore. They are the difference between a number you negotiate and a number you accept.

Being the best in your market and being findable are two different jobs.

Joe Rockey on The Growth Ceiling: "Business owners focus on making the best bread, not on letting people know how to get their bread. And the best bread isn't the bakery that stays. It's the one that sells the most."

Most owners only ever solve the first one, then read the flat pipeline as a marketing budget problem.

The heating and cooling company buys the plumbing company. Then the electrical company.

Same homeowner. Three reasons to call.

Erika Baez-Grimes on The Growth Ceiling: that is what a bolt-on acquisition actually looks like for a service business. You are not entering a new market. You are selling more to the market you already serve, and you are buying licensed crews with fifteen years in the field rather than hiring trainees.

Look at the gaps in your own operation first. Then go find a company that already fills one.

There is a number missing from every founder's financial review.

Kati Peterman calls it the loss of joy. You started because something about the work energized you, usually the conversations and the relationships. Then the billing, the payables, the invoices, and the payroll accumulate. Three and a half days of work a bookkeeper would clear in two hours.

None of that reaches your profit and loss. It shows up in your quality of life, in whether you are pleasant to be around on a Sunday, and eventually in whether you still believe in the thing you built.

Asked to finish the sentence "you need leadership, not another doer, when," her answer was one line. When you are not experiencing joy.

A physician Erika Baez-Grimes is working with runs his home mortgage, his cars, and his vacations through the business. Each one may be defensible on its own. Together they mean no buyer can see what the company actually earns.

Books in that condition discount a business by thirty percent or more.

Those choices get made years before anyone reads the books, and nobody prices them at the time.

On this week's episode of The Growth Ceiling: what the money is actually reading in your financials, on both sides of the table.

The part of selling a business nobody prepares for is the morning after.

Erika Baez-Grimes works with owners on the question that lands in the middle of the transaction: who are you when you are no longer the CEO?

One landscaping owner solved it by staying on as a designer. He did not want the employees or the decisions. He wanted the work he actually loved. That got negotiated before signing, not discovered afterward.

If you have not decided what you are keeping, you are negotiating it blind.

A commercial painting company came up for sale. The owner had not painted a building in fifteen years.

He still went to work every day, because he had been going to work in that same building since 1966.

Erika Baez-Grimes tells this one on The Growth Ceiling. The crews were bidding the work and doing the work. The business ran. He was there out of habit, and habit is not the same thing as being needed.

Worth asking which one is keeping you at your desk.

Two companies. Same revenue.

In the first, the owner does the work and earns two hundred and fifty thousand. In the second, an absentee owner earns a hundred and fifty and pays a manager a hundred to run it.

A buyer pays more for the second one. Every time.

Erika Baez-Grimes explains why on The Growth Ceiling: the second company can be repeated fifteen times and the first one cannot. You are not being paid for the revenue. You are being paid for whether it survives you.
