Relaxation of additional fees and extension of time for filing of Financial Statements and Annual Returns under the Companies Act, 2013 .

Additional fee waiver changes for filing Financial Statements and Annual Returns for the FY 2024-25 vide circular no. 06/2025 are currently under development and are expected to be completed by middle of next week. Companies whose filing due dates have either already passed or fall during this period are advised to kindly take note of the forthcoming changes and plan their filings accordingly...

Now Rule 4 of Companies ((Meetings of Board and its Powers) Rules, 2014 *has been completely omitted.* to relax the requirement of holding board meeting with physical presence of directors in respect of certain matters.

⚛️ Thus, Board Meeting *through Video-Conferencing is now allowed* for matters such as:

✔️ Approval of Financial Statements, Board Report and Prospectus
✔️ Audit Committee Meeting for consideration of accounts
✔️ Approval of matter relating to amalgamation, merger, demerger, etc.

CBDT grants relaxation in electronic filing of forms 15CA & 15CB in view of difficulties reported by taxpayers in filing of forms online on the new e-filing portal Incometax.gov.in
