Today Liezl Groenewald and The Ethics Institute launched a new Whistleblowing Handbook.

It is a free download https://www.tei.org.za/handbooks/

In the early part of the Handbook, this cut-out hit me between the eyes...the multitude of benefits of such facilities, including providing:
• A communications channel beyond the rumour mill
• A way to direct employee questions to the appropriate resource
• An opportunity to provide guidance before a poor decision is made
• An early warning of issues or problem areas brewing in the organisation
• A last internal stop for whistleblowers before they take an issue outside the
organisation to a regulator, attorney, or the media
• A confidential place for employees to clarify policy and discuss or report
concerns

In today's world, stakeholder engagement is more than a King IV Principle, it is an imperative for providing a sound basis for organizational value generation.

BREAKING NEWS - Giants Come Together to Create a Comprehensive Global Corporate Reporting System

Every institutional investor and subscriber to the United Nations Principles for Responsible Investment knows the confusion of reporting sustainability information.

The World Economic Forum, the Impact Management Project and Deloitte are facilitating the alignment among leading sustainability and integrated reporting organisations CDP, Global Reporting Initiative (GRI), SASB – Sustainability Accounting Standards Board, International Integrated Reporting Council and Climate Disclosure Standards Board.

"In this paper, five framework- and standard-setting institutions of international significance have come together to help resolve this confusion and to show a commitment to working towards a comprehensive corporate reporting system."

The paper addresses the complexity surrounding sustainability disclosure and outlines a shared vision of standard-setting. It also describes the role of taxonomies and technology to enable sustainability-related data to be structured for sharing and comparison, as well as the importance of a publicly available data platform to democratise access to this information as a public good.

Outcomes-Based Governance - Prof King's new book

Focusing on outcomes rather than input and outputs is certainly not something new for corporates but it is new to the art of governance.

Currently most governance standards remain listing compliance requirements with few codes guiding governing bodies on how to mindfully and purposefully achieve the impacts they need for their organizations as well as the social, economic and natural environment contexts within which their organizations operate.

King IV, the developing ISO 37000 standard and the Nigerian Code of Corporate Governance 2018 are a selection of a very few that do.

This book by Prof Ajogwu and Prof King is a very easy read and a must have for governance scholars. It provides:

- a summation of the theories of corporate governance

- a neat overview of the global corporate governance models

- and a definition of outcomes-based corporate governance

It provides a comprehensive view of the role of the Board and key organizational positions and their importance for corporate governance.

Important update from The Institute of Internal Auditors Inc.

King IV Principle 15: The governing body should ensure that assurance services and functions enable and effective control environment, and that these support the integrity of information for internal decision-making and of the organisation's external reports.

This is a really important principle for governing bodies - it provides them with confidence.

Today the IIA released a new Three Lines Model, an update of the Three Lines of Defense

When the Founder and CEO dies suddenly...

Not a happy thought, but an important one.

This interesting article in Forbes confirms, firstly, the importance of effective / good governance for all sizes and types of organizations precisely for such eventualities, but secondly, proposes how to address the leadership gap which this situation creates.

The article proposes that a member of the newly appointed Board step into the position as CEO.

I'm not sure that this was such a good choice....?
