Traditionally, a license is a special permit from the state to carry out a certain type of activity that requires special regulation. In the UAE, all types of activities are subject to licensing, but when it comes to some special types, then the state issues special permits. We will address this particular topic in our next posts.

In the UAE, a license is a document that confirms the right of a company to carry out this or that activity. If the company's license does not specify the activities that the company carries out, this will be considered as an offense. Usually, free zones provide the right to include several types of activities in the license. Some free zones allow to include only 3 types of activities, in some other free zones up to 6 types of activities allowed in one license. Furthermore, some free zones allow to combine trade and service activities in one license, and there are free zones in which it is prohibited. Choosing the right free zone is extremely important, since creating a company in one free zone most often means that you cannot move it to another free zone.

Please be advised that as of Wednesday 17 February 2021, the Federal Office of Personality and Citizenship (FAIC) has issued a directive that all new permits to enter outside the UAE will be temporarily suspended until further notice, except for the following categories, which are subject to FAIC approval:

👩‍🦳 Visa applications outside the UAE for female applicants

👨‍✈️ Applications for a work visa outside the UAE for management positions (CEO, director, manager, etc.)

Applications will be sent to FAIC for initial approval, and then the visa process can be started.

25th September 2020 onwards, RAK ICC has introduced new
rules for new registrations and renewals for offshore companies.
When registering a company:
- For some activities, the registry will ask for
additional information such as
(i) a description of the activity,
(ii) the place of business,
(iii) information about key suppliers, distributors, and customers, and
(iv) source for starting and running the business.
(v) it will be necessary to notify the registry of the
second citizenship
(vi) indicate the ultimate beneficial ownership (UBO)
(vii)Also, you will need to fill out a declaration on
sanctions

When renewing a company:
(i) ultimate beneficial ownership (UBO) information
(ii) Declaration of sanctions to be completed as well

Important information for all residents and visitors of the UAE

On April 13 of this year, the UAE authorities announced that all previously issued visas, entry and residence permits, as well as ID cards will be valid until the end of 2020. This decision was made in connection with the situation with the spread of coronavirus infection.

This decision of the authorities was announced on April 13 at an online conference for the media held by the Federal Agency for Identification and Citizenship. The agency representative said that all visas to stay in the UAE, entry permits and ID cards that expire after March 1, 2020, will automatically be extended until the end of December 2020.
Thus, for foreign citizens, a residence visa will be valid until the end of the year.

In addition, the agency confirmed its loyalty to all categories of citizens, including visitors of the country, and also urged all citizens to make any requests through the appropriate communication channels published on the official website.

Ras AI Khaimah International Corporate Centre (RAK ICC) has applied the conception of Foundation, that has many similarities with Trust structure.
It is possible to register Trust in many jurisdictions. This structure allows to transfer assets to the Counsel (Trustee), thereby losing the right to manage and profit from it but retaining ownership.

According to the tax and other reasons, discretion Trust is the most popular type of Trust because of absence the legal intercourses between Settlor and Trustee. This fact allows to keep save the placed into Trust assets restricting the right of creditor to enforce security (for example in case of bankruptcy). At present, it is possible to set up the similar structure in the UAE in RAK ICC.

Often, trust structures and Foundations are created with the aim to transfer the assets to the inheritance.

The Foundation structure assumes transferring of assets (it may be real estate, obligations, accounts, companies registered in the RAK ICC) to the Counsel (Trustee) who does not have ownership rights to such property, but agrees to dispose of it in favor of the beneficiary. Thus, the Settlor receives a guarantee of the preservation of capital, and the heir guarantees (a family, for example) the financial viability in the future.

The foundation in RAK ICC has the legal capacity, inder foreign jurisdictions also, however, but it does not have the right to carry out commercial activities. The minimum amount of property to be paid (should be put into trust) is the equivalent of $ 100. The law allows you to use the office of a registration agent (Walton Consultants DMCC).
