💼 ФАБУЛА ДЕЛА

• ТОО «Рем Монтаж» против АО «Эмбамунайгаз» (№6003-25-00-2к/5707) - заказчик расторг договор на процессинг электроэнергии через 3 недели после подписания, сославшись на негативные явления в экономике. Подрядчик требовал признать расторжение незаконным.

• АО «Эмбамунайгаз» против ТОО «Азия Мунай Групп Сервис» (№6003-25-00-2к/4168(2)) - заказчик расторг договор на процессинг электроэнергии из-за поставки оборудования, не соответствующего технической спецификации, и неустранения нарушений. Подрядчик встречным иском требовал признать одностороннее расторжение незаконным.

• ТОО «ТехстройКараганда» против ГУ «Отдел ЖКХ... г. Темиртау» (№6003-25-00-2к/3718(2)) — заказчик расторг договор на ремонт тепловых сетей из-за неоднократного срыва сроков. Подрядчик требовал признать одностороннее расторжение незаконным.

🏛️ ПОЗИЦИЯ СУДОВ

Суд признал все три расторжения законными:

• п. 1 ст. 404 ГК РК допускает односторонний отказ, если такое право предусмотрено договором.

• Если стороны прямо согласовали право на односторонний отказ, этого достаточно для расторжения договора. Дополнительно доказывать существенное нарушение по ст. 401 ГК РК не требуется.
• Суды должны оценивать доводы обеих сторон; решения, основанные только на позиции истца, признаны необоснованными (п. 11 НП ВС РК от 11.07.2003 №5).

📘 ВЫВОДЫ
• Изучайте условия об одностороннем отказе до подписания договора - «выход» из договора не менее важен, чем его заключение.
• При отказе от исполнения договора важна форма (уведомление, сроки) и содержание (наличие оснований, документы).
• Важен правильный выбор способа защиты права. Отказ от договора - односторонняя сделка (ст. 147, 148 ГК РК). Ст. 9 ГК РК предусматривает признание сделки недействительной как способ защиты права; отдельного способа защиты в виде «признания отказа незаконным» закон не содержит. Рекомендуется оспаривать отказ с применением соответствующих норм о недействительности сделок.

On 29 June 2026, KPMG Armenia launched its two-week Summer School Program, welcoming 15 final-year students and recent graduates for an inspiring learning journey.

Initiated as part of KPMG Armenia’s CSR campaign, the program is designed to equip young talents with practical skills, industry knowledge, and valuable professional experience to support their career development.

The participants were warmly welcomed by the KPMG Armenia team, who wished them a productive, insightful and rewarding two weeks of learning and growth.
