Non-Disclosure Agreement:
A non-disclosure agreement (NDA) is a legal contract or agreement between at least two parties. The NDA is also known as confidentiality agreement (CA), confidential disclosure agreement (CDA), proprietary information agreement (PIA), or secrecy agreement (SA). In case of doing business along with another business entity, the NDA plays a great role to protect the confidentiality, proprietary information, business plans, databases, business strategies, trade secrets, unpublished patent applications, customer lists, vendor lists, and so on. The NDA may be unilateral, bilateral, or multilateral in type. In Bangladesh, some of the sections from the laws, namely the Patent and Designs Act, 1911; the Contract Act, 1872; and the Penal Code, 1860, may cover the subject matter of the NDA but loosely. Accordingly, Bangladesh is still in crisis for lack of new investments, foreign investments, creative and innovative businesses, and thus the speed of economic growth remains slow. Therefore, Bangladesh needs more efficient laws, policies, rules and regulations to cover the subject matter of the NDA for better economic growth.
