If you own an Ontario corporation formed before October 19th this year you will need to obtain a company key in order to complete many routine transactions with the province including filing annual information returns (previously part of your corporate tax return), registering tradenames and the like.

Is it time to form a holding company?

In last year's budget there was a significant change to the way passive (investment / net rental income etc) income is treated by Canadian controlled private corporations earning active business income. Specifically that any passive income in excess of $50,000 will result in a reduction of the small business deduction by $5 for every $1 of passive income above the threshold.

Accordingly if your corporation earned $150,000 in passive (investment / net rental income etc) as well as active business income you could end up paying the full corporate tax rate on all of your income rather than the reduced rate on the first $500,000.

The good news is that this may be avoided by transferring the asset using a section 85 rollover and deferring any capital gains that may normally arise on a disposition.

I have long been a fan of incorporating federally rather than provincially whenever it can be done.

I ran into a situation today that reinforces my preference for federal corporations and it's one that nay business owner may, at one time or another, face. Specifically, replacing lost or misplaced Articles of Incorporation.

Ontario, apparently, is still back in the stone ages in that replacements are only available by ordering (and picking up in person) microfiche of the original documents then finding a microfiche reader / printer.

Industry Canada, on the other hand, makes them available on-line and pretty much in real time for a nominal fee.

We may just be the only company that hasn't raised prices since our founding in 2001, in fact some are even lower than they were then.

In 2001 our complete federal incorporation package was $499.99 (including taxes and disbursements) and still is today. NUANS reports were $34.95 in 2001 and are now available for as little as $19.95 plus taxes.

If you have a private federally incorporated company in Canada you should be aware of new minute book reporting requirements.

Bill C-86 amended the Canada Business Corporations Act to make the ownership of private corporation more transparent.

As of June 13, 2019 all private federal corporations must have a register that lists the following information for individuals who have "significant control" ie 25% or more of the corporation's voting shares.

Affected private federal corporations must maintain a register that includes the following information for each individual with significant control of such corporation:

Name, date of birth and last known address
Jurisdiction of tax residence
Date the individual became or ceased to be an
individual with significant control
Description of how the individual meets the significant control threshold

These records must be update annually.

Here's a good reason to order a NUANS report periodically for your existing business name. Had this business owner been aware of the application for the trademark in 2009 he may have been able to oppose the application by Tommy Gun's.

The owner of Tommy's Barber Shop on Albro Lake Road says he has no intention of changing the name of his operation despite a cease-and-desist letter sent to him by a competitor.
