Firms poach people from others to bring lucrative clients across.

How do Trade Secrets Help?

Deloitte sues partners over alleged plot to jump ship

The big four firm is suing three partners, who it claims passed business secrets to a rival.

They are accused of leaking client secrets to a competitor, as they downloaded swathes of internal data they intended to pass to the other company.

Trade Secret programmes do not just protect inventions, they protect commercial secrets like these as well.

The thing is you cannot put trade secret programmes in place after your secrets (and people) have jumped ship you have to do it (well) in advance.

London IP Week 2025 - always a good event.

Very pleased to have the opportunity to attend LIPW on Wednesday and Thursday this week.

The two highly relevant conference themes are i) AI in the IP Landscape and ii) Innovate & Protect.

I will be on a panel with the brilliant Timo (warming by the fire) as we discuss Anaqua, acquisitions and implications for IP Management.

𝗙𝗶𝗻𝗮𝗻𝗰𝗶𝗮𝗹 𝗧𝗿𝗮𝗱𝗶𝗻𝗴 𝗦𝘁𝗿𝗮𝘁𝗲𝗴𝗶𝗲𝘀 𝗣𝗿𝗼𝘁𝗲𝗰𝘁𝗲𝗱 𝗪𝗶𝘁𝗵 𝗧𝗿𝗮𝗱𝗲 𝗦𝗲𝗰𝗿𝗲𝘁𝘀

Hedge funds Millennium and Jane Street settled on the theft of a trading strategy when two traders left one to join the other.

It turned out the trading strategy was worth $1bn a year in profit to Jane Street, hence the case.

Ryan Baker, an intellectual property lawyer in LA, said the law “contemplates formulas, methods or processes as trade secrets,” so is broad enough to cover trading strategies.

Four key employees leave the business to join a competitor taking valuable information with them.

A decade later the largest medical devices company approaches the other company to buy them. Only then did Insulet act with a trade secrets misappropriation case and temporary injunction.

The net result was $452m in damages.

The jury awarded Insulet $170 million in compensatory damages and an additional $282 million in damages for the willful and malicious misappropriation by EOFlow.

Professional trade secret management has a good ROI.

Oops!

Citibank have accused a couple of bankers who left to join the Bank of Montreal of doing just that.

They are claiming this information is a trade secret and is therefore not available for the departing bankers to use to the benefit of their new employer.

Citi's lawsuit accused the bankers of engaging in "highly unusual activity" by searching for information related to his clients on Citi's computer system two days before the bankers gave notice of their resignation in July. They then allegedly used the information to try to persuade a Citi client to change banks, the lawsuit said.

We wait to see how this plays out.

In some way the case will depend on the quality of the trade secrets programme within Citibank, whether the information was ‘marked’ as trade secrets, whether their contracts defended trade secrets and whether they were trained to realise the importance of this information.

Maximizing Innovation: How IP Audits Can Drive Business Growth

That new code was a game changer.

Thank fully before we released it, we did an IP Audit to identify the best way to protect it.

We improved protection with intellectual property rights, especially trade secrets, copyright and designs. We clarified how other products supported it and likewise reaffirmed how they were protected. We made sure all our team understood the importance of this code and that it was level 1 (the highest level of secrecy). We ensured our contracts protected our rights with our collaboration partner. We developed the digital brand aspects and set in train the trademark applications. Finally we assessed certain areas that might be patentable and explored the landscape to identify how we might draft our patents.
