The VC that almost killed Tesla

Elon Musk had a rule he ignored once. It almost cost him everything.

“If you have a choice of a lower valuation with someone you really like or a higher valuation with someone you have a question mark about, take the lower valuation.”

In 2006, Tesla was raising its Series C.

Two offers were on the table:
→ Kleiner Perkins: $50M pre-money
→ VantagePoint: $70M pre-money

Musk chose the higher number.

He admits now: “That was probably a mistake.”

Here’s what followed:

2007, VantagePoint tries to lead a deal that would have gutted Musk’s control of Tesla.

It fails — barely.

December 2008, Tesla is 7 days from bankruptcy.

Musk scrambles to raise $40M, cobbles together $20M himself, and asks existing investors to match it.

Everyone agrees.

Then with hours to go, Musk notices something while reviewing the paperwork.

VantagePoint had signed everything. Except one page.

When Musk calls VantagePoint’s co-founder Alan Salzman,

Salzman says the round “undervalues Tesla.” Then backs out completely.

Musk believed this was a calculated play:

bankrupt Tesla, oust him as CEO, recapitalize, and seize control.

So Musk made one final gamble:

recharacterize the round as debt instead of equity.

VantagePoint couldn’t block a debt deal.

The round closed on Christmas Eve, hours before Tesla would have gone bankrupt.

Musk had a few hundred thousand dollars left.

He couldn’t have made payroll the next day.

He personally put in $12M. The other firms matched the rest.

The lesson Musk draws isn’t about valuation.
It’s about character.

Choosing a VC is like getting married.

You’re locked in.
You’ll face hard moments.
And in those moments, all that matters is whether you trust the person across the table.
