Recently, we have received two more enquries from chain retailers, most of them have rented more than 3 shops in Hong Kong. To me the retailer industry has not been improving for many years. My team read the financial data and report of our retailer clients, and we found there is a common scenerio than most retailers are able to make the satisfactory retail sales, but the cash flow is always tight even though they manage to increase the sales income. China launched its biggest over-the-counter equity trading platform in Shenzhen on Thursday, aimed at increasing access to finance for small and medium-sized enterprises and offering much looser listing requirements than the country's main exchanges.

股权融资：对象是香港主版和创业版上市公司一、二、三、四大股东。其他市場上市公司亦歡迎查詢。

主要特点：

1） 股份过仓不过户，可叙做最高不过5%以发行股份总值。

2） 不需要公布，不需要股东私人担保，放款可汇入借款人的指定户口。

3） 成本：　

a) 年利率4.5-5.5%（第一季后付）

b) 一次性手续费于放款时扣5%

c) 银行监管仓费托管费用0.5%,

4） 贷款年期2-3年；融资比例50%，全球股票都可以操作除了美国及A 股。 为了方便借款人在有外汇管制的国家贷款需求，借款人可以在选择在境外放款。



股份过仓不过户贷款方案

股份过仓不过户是指股份在贷款期内还在借款人名下。借款人需在基金指定的证劵行开立账户。借款人然后把股票存入借款人监管账户， 借款人签定监管账户监管协议。



股票融资流程

1） 借款人先向贷款方提供股票号码和意向贷款金额，以便查询。贷款方基于短期和长期风险，确定贷款申请的可行性，厘定贷款比例和利息。

2） 贷款方出具贷款意向函于借款方考虑。

3） 双方商议和确定最后条款。

4） 贷款方向借款方提供贷款合同，借款方审定并签立最终贷款合同。

5） 借款方开立贷款方的指定监管账户，转仓。

6） 放款到借款方指定接款账户。
