You live outside Ireland and want to form an Irish company. Does the founder have to be Irish resident?

No. A non-resident can be a founder, but that does not settle the position of the company's directors. Their residence must be checked before Form A1 is filed with the CRO.

Section 137 of the Companies Act 2014 requires at least one EEA resident director unless an exemption applies. The founder's residence and the director residence requirement are different questions.

Identity and ownership information will be needed for AML and KYC checks. The company must also identify its beneficial owners and file their details with the RBO.

After incorporation, tax registration is handled with Revenue. The company will also have CRO filings and other continuing corporate obligations.

Chern&Co can review where the proposed directors live and what the company will do before the application is prepared.

Send Chern&Co a direct message with your circumstances.

You have your Certificate of Incorporation from the CRO. Which company obligations come next?

The company must keep statutory registers, including its register of members and register of directors and secretaries. It must also file its beneficial ownership details with the RBO within five months of incorporation.

Tax registration is handled separately with Revenue once the company has its CRO number. Whether VAT registration is required depends on what the company does and the VAT rules that apply to it.

Bookkeeping needs to be put in place for the company's transactions. The CRO also sets the first annual return date at six months after incorporation. That first return is filed on Form B1 without financial statements attached.

These are separate CRO, RBO and Revenue matters. A plan after incorporation should identify each filing and the person responsible for it.

Send Chern&Co a direct message to discuss an after-formation plan for your company.

Sole trader or limited company?

If you are starting a business in Ireland, this is one of the first decisions you will make.

A sole trader and the business are the same legal person, so personal assets can be used to pay business debts. Profits are taxed through self-assessment.

A limited company is a separate legal entity. Owners are generally not personally liable for its debts, and trading income is taxed at 12.5% corporation tax. Money you take out of the company, such as salary and dividends, is taxed on you personally. A company also means more admin: annual accounts to the CRO and a CT1 return.

A limited company must have at least one director resident in the EEA, or the company must hold a bond.

The right choice depends on your income, your plans and your risk. Not sure which one fits you? Message us and we will help you compare both options for your situation.

You want to form an Irish company, but have not yet decided who its directors will be or where it will operate.

Those decisions belong before the CRO application. Form A1 records the company's registered office, directors, secretary and intended activity. The constitution must also be prepared for incorporation.

The registered office must be in Ireland under section 50 of the Companies Act 2014. It is the address entered on Form A1 for the company, not simply the founder's address abroad.

We also need to know where the proposed directors live and what the business will do. That information shapes the registration work and the corporate services the company may require afterwards.

Chern&Co assists international founders with incorporation, an Irish registered office, company secretarial services and ongoing corporate compliance.

Send Chern&Co a direct message with your proposed activity and directors before applying to the CRO.

Your Irish company is incorporated. Which return comes first, and when do the financial statements begin?

A Limited Company has several filing calendars. Form B1, Form CT1 and VAT3 are separate returns submitted for different purposes.

The first Annual Return Date is six months after incorporation. The company must file Form B1 with the CRO through CORE within 56 days of that date.

No financial statements are attached to the first Form B1.

The next Annual Return Date normally falls 12 months later, approximately 18 months after incorporation. Financial statements are normally attached to this second Form B1.

Corporation Tax follows another timetable.

Form CT1 and any remaining Corporation Tax are normally due nine months after the company's accounting period ends. For ROS filing and payment, the deadline is the 23rd day of the ninth month.

If the company is VAT-registered, it must also file VAT3 returns. The standard VAT period is two months, although Revenue may assign a different filing frequency.

Check your Annual Return Date on CORE and confirm your financial year end in advance.

Not sure which dates apply to your company? Ask Chern & Co to review your filing calendar.

An existing client asks you to form an Irish company, but your firm does not provide Irish corporate services. What can you offer them?
Chern&Co works with accountants, solicitors, consultants and international agents. You retain the client relationship while we carry out the Irish company work agreed with you.
For incorporation, that may mean preparing the constitution and Form A1 for filing with the CRO. After registration, the agreed work may include company secretarial administration and CRO filings.
For example, an Irish company must keep a register of members and a register of directors and secretaries. It also files its annual return with the CRO on Form B1.
We agree the services, how we will communicate with your client and the referral terms before work starts. Each firm then has a clear remit.
You can assist a client with an Irish company matter without adding an Irish corporate services team to your own practice.
Send Chern&Co a direct message to discuss the partnership programme.

Your 2025 income tax return is due soon. Do you have the records ready?

If you are self-employed in Ireland, the standard Pay and File deadline is 31 October 2026.

By that date, you must normally:

File your 2025 Form 11

Pay any Income Tax balance due for 2025

Pay preliminary tax for 2026

If you file the return and make the appropriate payment through ROS, the extended deadline is 18 November 2026.

Before sending your records to your accountant, gather your sales invoices, business bank statements, receipts, details of cash and online payments, pension contributions, rental or foreign income, and any asset disposals.

Check that personal spending has not been included as a business expense. Advertising, professional fees, insurance, software and business-related travel may be allowable where the relevant conditions are met and supporting records are available.

Do not leave the paperwork until the final week.

Not sure whether your tax file is complete? Contact Chern & Co and we will review what you have and identify what is missing.

You live outside Ireland and want to form a company here. Must you move before filing with the CRO?

Usually, no. An international founder can often arrange the incorporation remotely. The application must still set out the company's Irish registered office, directors, secretary and intended activity.

Form A1 is filed with the CRO alongside the constitution. Section 50 of the Companies Act 2014 requires the company to have a registered office in the State.

Check where the directors live before filing. Section 137 of the Companies Act 2014 requires at least one EEA resident director unless an exemption applies.

Once the company is incorporated, its beneficial ownership details must be filed with the RBO. Tax registration is handled with Revenue, using the CRO number issued on incorporation.

Where the directors live, what the company will do and where it will operate all affect the work needed before and after registration.

Send Chern&Co a direct message to discuss your plans before you file Form A1.

Your company has a 31 December year-end. The bank reconciliation is unfinished and the director's loan account has not been agreed.

The CT1 for the year ended 31 December 2025 must be filed through ROS by 23 September 2026. Any balance of Corporation Tax is payable to Revenue on the same date.

Before filing, finalise the accounts and tax computation. Reconcile the bank accounts, agree trade debtors and creditors, review the director's loan account and match payroll submissions, VAT3 returns and any RCT contract or payment notifications to Revenue records.

Review fixed asset additions for capital allowances. Credit preliminary tax paid against the final liability.

Do not confuse CT1 with Form B1. CT1 is filed with Revenue. Form B1 is the separate annual return filed with the CRO.

If the company made certain payments for services to third parties, check whether a company Form 46G is due. Confirm separately whether financial statements must be filed with Revenue in iXBRL format.

A late CT1 can trigger a surcharge under section 1084 and restrictions on loss relief or group relief under section 1085 TCA 1997.

CT1 not ready? Send us the trial balance, draft accounts and unresolved items. We will identify what is still needed before filing through ROS.
