CCI approves 100% acquisition of Emami Cement by Nuvoco Vistas Corporation Limited...

On May 21, 2020 The Competition Commission of India(CCI) has approved 100% acquisition of the total issued and paid-up share capital of Emami Cement Limited(ECL)on a fully diluted basis, by Nuvoco Vistas Corporation Limited(NVCL) for an enterprise value of Rs 5,500 crore. ECL is a part of the Emami group & NVCL is a Nirma promoter group company.

Major Highlights

i.This acquisition is Nirma’s 2nd cement acquisition in east India. In 2016, it acquired Lafarge India’s cement assets at an enterprise value of USD 1.4 billion. Lafarge India operated three cement plants and two grinding stations with a total capacity of around 11million tonnes per annum(mtpa)

ii.The sale of the cement business is part of Emami group’s plan to become debt-free. In 2019 the group’s founders sold 20% in their flagship household goods company, Emami Ltd, for Rs 2,830 crore as part of the plan.

iii.The Emami cement acquisition will bring NVCL’s total cement capacity in eastern, northern and western India to 23.5mtpa, including an ongoing capacity expansion project at its Jojobera plant and over 60 ready-mix plants.

iv.The combined operations will span three facilities in Chhattisgarh, two each in Rajasthan and West Bengal and one each in Bihar, Jharkhand, Odisha and Haryana.

NVCL

i.NVCL operates cement manufacturing units in the states of Chhattisgarh, Jharkhand, West Bengal, Rajasthan and Haryana.

ii.It is engaged in manufacturing and sale of a variety of grey cements (including Portland Pozzolana cement, Portland Slag Cement and Ordinary Portland cement) and the sale of certain other value-added products like construction chemicals, wall putty, and cover blocks.

ECL

i.ECL owns & operates cement manufacturing units in Risdah, Chhattisgarh, and grinding units in Bihar, West Bengal and Odisha with a total installed capacity of 8.3 million tonnes per annum and has mining leases in Chhattisgarh, Rajasthan and Andhra Pradesh.

ii.It engages in the manufacturing and sale of a variety of grey cements including Portland Pozzolana cement, Portland Slag Cement, Ordinary Portland cement and plain cement concrete i.e. composite cement & also manufactures and sells small quantities of clinker and ground granulated blast furnace slag.

Dalmia Cement (Bharat) gets new COO

Dalmia Cement (Bharat) Limited, on Thursday, announced the appointment of Ujjwal Batria as the chief operating officer (COO). As a part of his new role, Mr. Batria will lead the company’s sales, marketing, logistics, manufacturing and technical services departments.

Commenting on Mr. Batria’s appointment, Mahendra Singhi, Group CEO & Whole Time Director - Dalmia Cement (Bharat) Limited, said in a statement, “We continue to strengthen our leadership team and are pleased to have Mr. Batria on board. We are confident that his rich experience and leadership will be a tremendous asset for driving further our growth story”.

Mr. Batria joins Dalmia Cement from Nuvoco Vistas Corp Ltd. (formerly Lafarge India Limited) where he was the CEO and handled cement, RMX and aggregates. Prior to this, he was associated with Tata Steel (cement division), Century Textiles & Industries Limited (cement division) and Eicher Motors.

Dalmia Cement (Bharat) Limited (DCBL), a subsidiary of Dalmia Bharat Limited, is among the largest and most diverse cement companies in India with a current capacity of 26 million tonnes. Spread across nine states and 12 manufacturing units, the company is into speciality cement manufacture making cements used for oil wells, railway sleepers and air strips.

Lafarge India sale to Nirma Ltd faces regulatory hurdle in Jharkhand

India: Officials in Jharkhand have said that the recently announced sale of Lafarge India to Nirma will require state approval to transfer land at the Jojobera cement plant. The East Singhbhum deputy commissioner, Amit Kumar, has been asked to calculate the revenue that the government stands to gain from such land transfer and its registry, according to the Hindustan Times. Previously, the district administration served a notice to Lafarge India on 10 October 2015 when Lafarge India was in talks with Birla Corporation regarding the sale of some of the same assets.

"It's mandatory to seek state government's prior approval for third-party transfer of leased land, in this case leased to Tata Steel. The district administration had informed this to the company, requesting it to seek government's approval," said KK Sone, the state land and revenue secretary. "It has to comply with the administration's notice. Any violation would draw administrative, civil as well as criminal actions."

The Jojobera plant was built on government land leased to Tata Steel. Tata Steel then signed a business transfer agreement for its Jojobera plant with Lafarge India in March 1999.

अन्धकार को दीपक की चुनौती

अन्धकार की अपनी शक्ति है। जब उसकी अनुकूलता का रात्रिकाल आता है तब प्रतीत होता है कि समस्त संसार को उसने अपने अंचल में लपेट लिया। उसका प्रभाव, पुरुषार्थ देखते ही बनता है। आँखें यथा स्थान बनी रहती हैं। वस्तुएँ भी अपनी जगह पर रखी रहती हैं किन्तु देखने लायक विडम्बना यह है कि हाथ को हाथ नहीं सूझ पड़ता। पैरों के समीप रखी हुई वस्तुयें ठोकर लगने का कुयोग बना देती हैं।

अन्धकार डरावना होता है। उसके कारण एकाकीपन की अनुभूति होती है और रस्सी का साँप, झाड़ी का भूत बन कर खड़ा हो जाता है। नींद को धन्यवाद है कि वह विस्मृति के गर्त में धकेल देती है अन्यथा जागने पर करवटें बदलते वह अवधि पर्वत जैसी भारी पड़े।

इतनी बड़ी भयंकरता की सत्ता स्वीकार करते हुये भी हमें दीपक की सराहना करनी पड़ती है जो जब अपनी छोटी सी लौ प्रज्वलित करता है तो स्थिति में कायाकल्प जैसा परिवर्तन हो जाता है। उसकी धुँधली आभा भी निकटवर्ती परिस्थिति तथा वस्तु व्यवस्था का ज्ञान करा देती है। वस्तु बोध की आधी समस्या हल हो जाती है।

दीपक छोटा ही सही- अल्प मूल्य का सही, पर वह प्रकाश का अंशधर होने के नाते अंधकार के सुदूर फैलाव को चुनौती देता है और निराशा के वातावरण को आशा और उत्साह से भर देता है। इसी को कहते हैं नेतृत्त्व।
