To clarify the clauses, Burden gives the following tips as to when an indemnity will be “given their intended teeth”:
LOSSES

Check whether the indemnity clause fully describes or limits what can be claimed. Burden also says to check for “express carve outs.” He gives the example of an IP indemnity that applies to money paid as damages or in settlement. He notes that this would ignore the primary loss—such as internal costs of dealing with the claim.
SOLE REMEDIES

Indemnities as sole remedies may be problematic if the indemnity itself only covers part of the loss. So although a sole remedy isn’t in and of itself an issue, if it’s accompanied with a carve-out clause, it can be a “major problem,” says Burden.
LIMITS OF LIABILITY

Don’t be fooled into believing that limits of liability in the contract don’t apply to a loss because it is drafted as an indemnity, Burden warns. Pay attention to the specific drafting of the contract and whether it applies to “any and all damages.”
