The Ministry of Corporate Affairs (MCA) has introduced the Companies Compliance Facilitation Scheme, 2026 (CCFS-2026), operational from 15th April 2026 to 15th July 2026. This scheme allows companies to file pending annual returns (MGT-7 & MGT-7A) and financial statements (AOC-4 SERIES) by paying only 10% of the additional fees, providing a 90% penalty waiver.
Key Aspects of the 15th April – 15th July 2026 Scheme:
Eligibility: Applicable to companies with pending annual filings (AOC-4, MGT-7).
Reduced Fees: Late filings attract only 10% of the normal additional fees.
Dormant Status (MSC-1): Inactive companies can apply for dormant status at 50% of the normal fees.
Strike-Off (STK-2): Companies can apply for voluntary strike-off at 25% of the normal filing fee.
Immunity: The scheme provides immunity from prosecution and penalties for delayed filings of financial statements and annual returns under Sections 92 and 137.
This one-time opportunity allows companies to clear all pending ROC filings before 15th July 2026 to avoid strict action afterwards. Filings should be made through the updated MCA-21 portal.

🔹 GST – Key Changes with Practical Impact

✅ New Invoice Series (Mandatory Reset)
• Fresh invoice numbering must begin from 1 April 2026
• Ensures proper financial year segregation and audit tracking

⚠️ Risk: Use of old/duplicate series may lead to mismatches and return issues

✅ LUT (Letter of Undertaking)
• Mandatory for:
• Export of goods/services
• SEZ supplies without payment of IGST

📌 Important:Without LUT → IGST must be paid on exports (cash flow impact)

✅ E-Invoicing Threshold – ₹5 Crore
• Applicable if turnover exceeded ₹5 Cr in any previous FY (since 2017–18)

📌 For ₹10 Cr+ taxpayers:
• Invoice must be reported within 30 days (IRN rule)

⚠️ Risk:
• Delay → Invoice becomes invalid
• Buyer may lose Input Tax Credit (ITC)

✅ IMS (Invoice Management System)
• Mandatory actions:
• Accept / Reject / Pending for invoices & credit notes

📌 Impact:
• Direct effect on ITC eligibility and return accuracy
• Passive compliance is no longer sufficient → Active monitoring required
