Ministry of Corporate Affairs has advised the Companies which are unable to hold their Annual General Meetings for the financial year 31st March, 2020 to file applications in Form-GNL-1 on or before 29.09.2020 for seeking extension in holding their AGMs before Registrar of Companies.
MCA has also advised ROC to consider all the applications in view of hardships faced by stakeholders due to COVID-19 and grant extension for the period up to 3 months.

*MGT-9 is not required to be attach with Directors Report*

As per the amendment dated 28 August, 2020 after Sub rule (1) of Rule 12 of the Companies (Management and Administration) Amendment Rules, 2020 the following proviso shall be added:

Provided that a Company shall not be required to attach extract of the annual return with the Directors Report in Form MGT-9, in case the web link of such annual return has been disclosed in the Directors Report in accordance with sub section (3) of section 92 of the Companies Act, 2013.
