The Annual Return of a LLP needs to be filed in LLP Form 11 within the 60 days from the closure of the financial year. That means the Due Date for LLP Annual Return Filing in LLP Form 11 for the FY 2021-22 shall be 30th May 2021. Even if the LLP does not have any business, it is mandatory for every LLP to submit its Annual Returns and Financial Statements with the MCA (Ministry of Corporate Affairs).

The Ministry is primarily concerned with administration of the Companies Act 2013, the Companies Act 1956, the Limited Liability Partnership Act, 2008 & other allied Acts and rules & regulations framed there-under mainly for regulating the functioning of the corporate sector in accordance with law.

Every entity formed under the Companies Act or LLP Act has to follow mandatory annual compliances i.e., Annual Return, Filing of Financial Statements, Appointment of Auditor, DIR KYC for directors/designated partners of the entity within the specified time limit as laid down by the MCA. Non-compliances will lead to heavy penalties and severe consequences.
