Indian IT services and SaaS companies are sitting on one of the biggest opportunities in the US market right now - rising tech talent shortages, high domestic development costs, and accelerated digital transformation across HRTech, FinTech, EduTech, AI, cybersecurity, and cloud migration.

But opportunity isn't the same as a plan. Knowing the US market wants what you build is different from knowing where to position it, who your real competitors are, what pricing the market will bear, and which entry point - direct sales, partnerships, nearshore delivery - actually fits your business.

Indam Advisors builds market research that's specific to your industry and your business stage, not generic country reports. The founders who expand successfully aren't the ones who moved fastest. They're the ones who moved with a plan built on real data.

Every business hits friction eventually: a partnership disagreement, a client who won't pay, a contract that gets challenged.

In the US, how that friction gets handled determines whether it stays a minor issue or becomes a business-ending lawsuit.

Indian founders running US entities often don't have a legal partner in place until they're already in a dispute, which means scrambling to find representation while the clock is already running. By then, options are limited and costs are higher.

Having legal representation lined up before you need it means partnership disputes get resolved through negotiation instead of court, contract claims get defended properly the first time, and lawsuits get handled by someone who understands US civil procedure, not someone learning it in real time.

Strong legal footing isn't about expecting conflict. It's about being ready if it comes.

Legal problems in a US expansion rarely show up as an emergency out of nowhere. They show up because the legal foundation wasn't built for US rules in the first place.

Contracts drafted with Indian jurisdiction in mind don't automatically protect you under US law. Partnership disagreements that could be resolved through a clear operating agreement instead end up in costly disputes because that agreement was never drafted properly. And when a client doesn't pay or a lawsuit lands, US civil procedure moves on its own timeline. One that doesn't wait for you to find a lawyer.

Indam Advisors builds your legal groundwork before problems start: proper contracts, clear partnership terms, and representation ready to defend your business the moment it's needed.

Every Indian founder focuses on getting the US entity registered. Very few focus on what happens after, the actual financial machinery that keeps it compliant and fundable.

US bookkeeping isn't Indian bookkeeping with dollar signs. Different accounting standards, different filing calendars, different expectations if you ever want a US bank loan, a US investor, or a clean tax filing. Sloppy books don't just create tax headaches, they kill due diligence the moment someone looks closely, whether that's an investor, an acquirer, or the IRS.

Cash flow management and budgeting across two countries, two currencies, and two tax systems isn't something to figure out reactively in March. It's infrastructure you set up in month one.

The businesses that scale smoothly aren't the ones with the best idea. They're the ones whose books never become a problem.

Most legal trouble in a US expansion doesn't come from bad intentions. It comes from applying Indian assumptions to a US legal system that runs on different rules.

Contracts drafted for Indian courts don't hold up the same way under US jurisdiction. Trademarks filed only in India leave your brand exposed the moment you sell in the US. An LLC isn't a Pvt Ltd with a different name. The liability protections, tax treatment, and compliance obligations are structured differently.

And by the time founders look for a US lawyer, it's usually because they're already being sued or disputed with, not because they planned ahead.

The businesses that expand safely aren't the ones that never hit legal issues. They're the ones that had the right structure in place before the issue showed up.

Everyone talks about expanding to the US. Fewer talk about what needs to be right before you do. ๐Ÿ‡บ๐Ÿ‡ธ

From market positioning and tax treaty benefits to credibility, compliance, and entity structure, the โ€œbeforeโ€ matters just as much as the expansion itself.

Because entering the US market isnโ€™t just about getting there. Itโ€™s about building the right foundation to stay, grow, and create long-term value.

Before you take the leap, know what youโ€™re building toward.

Indam Advisors helps you think through the โ€œbeforeโ€ and not just the โ€œafter.โ€

If you run a business in India and a related entity in the US, parent-subsidiary, sister companies, or any structure where money moves between them, transfer pricing rules apply to you.

Transfer pricing is about proving that transactions between your related entities happen at "arm's length" pricing, the same rate you'd charge an unrelated third party. Get this wrong, intentionally or not, and both US and Indian tax authorities can reassess your income, add penalties, and trigger audits on both sides of the border.

This is one of the most under-addressed compliance areas for Indian founders operating cross-border structures, mostly because it sits at the intersection of two tax systems, and most accountants only understand one.

Done right, transfer pricing documentation protects you in an audit. Done wrong, it invites one.

Expanding into the US shouldn't mean juggling five different consultants for five different problems.

Our process starts with understanding your business your goals, your industry, and where you're stuck. From there, you're matched with a dedicated US market expert or legal advisor who actually specializes in your space, not a generalist reading from a script. Once you're onboarded, we run the entity setup, compliance, and go-to-market ex*****on end-to-end, with regular updates so you're never left wondering where things stand.

No cookie-cutter approach. No guessing which service you actually need. Just a team that's done this before, doing it for you.

An EIN (Employer Identification Number) is the US equivalent of a PAN for your business. Without it, you can't open a US bank account, can't hire, can't file taxes, and most payment processors won't even set up your account.

Here's what trips up Indian founders: if you don't have a US Social Security Number, applying for an EIN takes longer and needs to be done correctly the first time. A rejected application can cost you weeks.

This isn't a form you fill on a Sunday. It's the first real step that makes your US company operational, not just registered on paper.
