1️⃣ Universe of ideas

These are your general investment ideas.

Keep your eyes and ears open. Good ideas can come from anywhere.

Use these screening criteria:
- Sales & Profit growth > 10%
- Debt / Equity < 1x
- Return On Equity > 20%
- P/E < 25x

2️⃣ Circle of competence

Is the business simple? Do I understand how the company makes money?

Criteria:
- Know your limits and stay within them
- The size of your circle does not matter, knowing your boundaries does

3️⃣ Financial stability filter

How has the company grown in the past? How clean is the balance sheet? Does the company have a positive cash flow?

Criteria:
- Look for stability and consistency
- Cash flow is more important than earnings

4️⃣ Wide moat filter

Is the company better than its competitors? Only invest in companies with a sustainable competitive advantage

Criteria:
- High and sustainable gross margin (> 40%)
- High and sustainable ROIC (> 15%)

5️⃣ Price filter

Is the valuation of the company reasonable? The larger your margin of safety, the better.

Criteria:
- Buy wonderful companies at a fair price
- Focus on the intrinsic value per share growth

HOW TO CHOOSE THE BEST BUSINESS LOCATION?

Which street would you rather host your business on? Downtown or the CBD. Or maybe in the outskirts of the city.

A lot comes to mind when you think of a business location. Nowadays, business is even virtual, and with no specific location. However, at some point, people will have to come to your store or shop.

Choosing a strategic business location is one thing you want to do right. You get this right, and you are on to a good start. Have you ever seen businesses fighting over a spot? It is a hot spot like a wi-fi. There are those specific places with a strong network. In business terms, there are those corners or streets with most clients. Willing buyers.

I challenge you to walk on any city or town streets, and you will notice that some shop space cost way more than others despite being in the same city or town. The answer is simply the location. This is an obvious thing. If you want a shop within the CBD, let’s say Tom mboya street in Nairobi, that might be like Ksh.50,000 per month for rent. It can even be as much as Ksh.90,000.

That pricing can be justified considering the crazy human traffic in that street, Tom Mboya is the main street in Nairobi city, and thus business space is expensive. You will definitely get clients, and that rent will pay itself in two to five days. And by the time you clear your stock, you will be glad you put your products or services on that part of town.

How to get a good business spot?

First of all, the motivation for getting a good place is to get clients – not just clients but customers with the buying power. You don’t want your business in a bad part of town with only window shoppers.

One thing you will notice about a good business location is that it is very pricey. It costs an arm and a leg to get a store in the CBD of any city. If you are just starting out and you don’t have enough money for a strategic business spot, instead of putting your business in the rundown part of town

As we all know church registration had been issue with moratorium and as From this year 2022 the ban has been lifted and any member can register a church as long as they meet the following requirements.
What are the requirements of registering church in Kenya?.
The following are required to register a church in Kenya.
Names of the officials in full. Chairman, secretary and treasures. Assistant officials where applicable.
Postal Addresses of each official.
Email address and telephone number of each official.
Proposed Physical address of the Church. Plot number, road, town and county.
Copies of the National Identity card of each official. (Passport for foreign nationals).
Copies of PIN certificate and a current tax compliance certificate of each official.
Passport photo of each official.
Qualification certificate, diploma or degree in theology from a recognized institution of at least one of the officials.
Certificate of good conduct from the national police service of each official.
A sworn affidavit of each official, indicating whether they are officials or members of any other religious societies and names of such societies.
An introduction or recommendation letter from a registered religious society of good standing, signed by at least 2 officials of such society and a copy of the registration certificate of that society.
A list of all the members of the society indicating the names, ID numbers, telephone numbers, Postal address and email address of such members.

Do you want to be removed as a director or appointed as one?Did you know that appointment of a director is done either during the incorporation of a Company or appointment by the company at the Annual General Meeting or by an Ordinary Resolution of the Company.
The Companies Articles of Association will provide the manner in which there will be appointment, removal, the retirement of directors. This is especially for companies that were registered with their set of Memorandum & Articles of Association in Kenya.
For example, in the provided Model Articles of Association adopted by many private companies -
A person ceases to be a director if the person—
(a) ceases to be a director under the Act or under section 411 of the Insolvency Act, 2015, or is prohibited from being a director by law;
(b) becomes bankrupt or makes any arrangement or composition with the person’s creditors generally;
(c) becomes a mentally disordered person;
(d) resigns the office of director by notice given to the other directors (if any);
(e) for more than 6 months has been absent without the directors’ permission from directors’ meetings held during that period; or
(f) is removed from the office of director by an ordinary resolution of the company.
Voluntary resignation by a director of the Company in Kenya.
A director of the Company may resign voluntarily from his/her position in the company. The Company is required to notify the Registrar within fourteen (14) days of such resignation.
Documents Required;
Resignation letter stating that the director wishes to resign from the Company
Affidavit of Resignation is required by the Registrars of Companies
Minutes from a meeting of directors showing the resignation (note all the directors must sign the extract of the minutes from the meeting.
