📄 සමාගමක සංගමික ව්‍යවස්ථාව වෙනස් කරන්නේ කෙසේද?

සමාගමක අරමුණු, අධ්‍යක්ෂවරුන්ගේ බලතල හෝ කොටස්කරුවන්ගේ අයිතිවාසිකම් වෙනස් වන විට සංගමික ව්‍යවස්ථාව යාවත්කාලීන කිරීම අත්‍යවශ්‍ය වේ. 2007 අංක 07 දරණ සමාගම් පණතට අනුව මෙම ක්‍රියාවලිය පියවර කිහිපයකින් සමන්විත වේ.

1. අනුගමනය කළ යුතු නීතිමය පියවර:

විශේෂ යෝජනාවක් සම්මත කිරීම (Special Resolution): පණතේ 15 වන වගන්තිය අනුව, ව්‍යවස්ථාව වෙනස් කිරීමට නම් සමාගමේ කොටස්කරුවන්ගේ 75% ක මනාපයෙන් විශේෂ යෝජනාවක් සම්මත කරගත යුතුය.

අධ්‍යක්ෂ මණ්ඩල අනුමැතිය: ප්‍රථමයෙන් අධ්‍යක්ෂ මණ්ඩලය රැස්වී මෙම වෙනස්කම සඳහා නිර්දේශ ලබා දිය යුතුය.

2. eROC සේවාව හරහා ලියාපදිංචි කිරීම:

දැන් ඔබට සමාගම් රෙජිස්ට්‍රාර් කාර්යාලයට (ROC) නොගොස් eROC වෙබ් අඩවිය හරහා ඉතා පහසුවෙන් මෙම වෙනස්කම සිදු කළ හැක.

eROC ගිණුමට පිවිසීම: www.eroc.drc.gov.lk හරහා ඔබේ සමාගම් ගිණුමට ලොග් වන්න.

Form 39 ඉදිරිපත් කිරීම: සංගමික ව්‍යවස්ථාවේ සිදු කළ වෙනස්කම් පිළිබඳව දැනුම් දීම සඳහා Form 39 (Notice of Adoption, Alteration or Revocation of Articles) පෝරමය තෝරන්න.

ලේඛන උඩුගත කිරීම (Upload Documents):

සම්මත කරගත් විශේෂ යෝජනාවේ පිටපතක්.

නව හෝ සංශෝධිත ව්‍යවස්ථාවේ පිටපතක්.

ගාස්තු ගෙවීම: අදාළ ලියාපදිංචි ගාස්තු Credit/Debit කාඩ්පතක් මගින් මාර්ගගතව (Online) ගෙවිය හැක.

සහතිකය ලබා ගැනීම: රෙජිස්ට්‍රාර් කාර්යාලය විසින් ලේඛන පරීක්ෂා කර අනුමත කිරීමෙන් පසු ඔබට ඒ පිළිබඳ නිල දැනුම්දීම ලැබෙනු ඇත.

⚠️ වැදගත්:

ව්‍යවස්ථාව වෙනස් කළ දින සිට දින 15 ක් ඇතුළත ඒ පිළිබඳව සමාගම් රෙජිස්ට්‍රාර්වරයා වෙත දැනුම් දිය යුතුය. එසේ නොමැති වීම දඩ මුදලකට යටත් විය හැකි වරදකි.
