How to change the name of a company in Sri Lanka under the Companies Act No. 7 of 2007:

✅ Steps to Change a Company Name in Sri Lanka:

1. Pass a Special Resolution
• The shareholders of the company must pass a special resolution to change the name.
• A special resolution requires 75% approval of the shareholders present and voting.

2. Check Name Availability
• Before proceeding, check that the proposed new name is not already in use or too similar to an existing name.
• Use the Department of Registrar of Companies (ROC) online system to search name availability:

3. Reserve the New Name
• File Form A16 (Application for name approval) with the ROC to reserve the name.
• Once approved, you'll receive a Name Approval Letter valid for 3 months.

4. File Form 15 (Notice of Special Resolution)
• Notify the ROC that a special resolution has been passed to change the name.
• Attach:
o Copy of the resolution
o Form 15
o Name Approval Letter

5. ROC Issues New Certificate of Incorporation
• Once accepted, the ROC will issue a Certificate of Incorporation on Change of Name.
• This new certificate is proof that your company’s name has officially changed.

6. Update Statutory Records and Public Materials
• After the name change, update:
o Company letterheads, invoices, signage, websites
o Bank accounts, contracts, tax documents
o Notify banks, IRD, EPF/ETF and other regulatory bodies

Any business in Sri Lanka might have performed on registration either in the form of Proprietorship Business, Partnership Business, or a company.
Proprietorship Business/ Partnership Business- Registration shall be done through Divisional Secretaries too.
Company- Registration shall be done through Registrar of Companies (ROC)

Limited liability Company
Unlimited Company
Company limited by Guarantee

Company Registration/ Incorporation process

Registration of a private company can be done as follows

1. Name search-

Preferred name should not be a name which has already registered in Sri Lanka with the ROC. Once the name search succeeded, you can reserve the same with a fee. The respective company should be incorporated within three months of the date of reservation.

2. Submit documents for the company registration.

Following documents to be submitted,
Form 01- Registration of Company
Form 18
Form 19
Article of the Company

3. Applicable charge are as follows,

Name search/ reservation- LKR 2,000.00+VAT + Service Charge 2%
Form 01- Company Registration LKR 4,000.00 + VAT + Service Charge 2%
Form 18- Certificate of Company Director LKR 2,000.00+VAT + Service Charge 2% (Per one Director)
Form 19- Certificate of Company Secretary LKR 2,000.00+ VAT + Service Charge 2%
Submission of Articles of Associations- LKR 2,000.00 +VAT and 2% service charge.
Total Cost- LKR 24,900 (All-inclusive charges)

4. We will deliver following on the above price LKR 24,500

Give advice and understanding about the process.
Name Reservation with the ROC.
Drafting article.
Arranging of all documents to be filled with ROC and attend matters during the process.
Business registration certificate (BR).

5. Additional service-

Obtaining a Tax Identification Number- TIN Number.
Documents to opening a bank account.
Registration with EPF/ ETF
Registration of Logos and Trade names/ Marks

6. Time taken for whole process-
