Good Afternoon everyone! So we continue our free info. Under the Companies Act 2016, a company is no longer obligatory to state its authorized capital. As a replacement, a company is required to report its issued share capital and paid up capital and the related changes through the return of allotments.

For your information, currently the lodgement of return of allotments must be done through online portal at MyCoid which is the new platform replacing counter occurring after 31 January 2017

Good morning everyone! The second change we want to discuss is about the share in company. In an ordinary corporate scenario, a company allots new shares in order to raise additional capital to fund its business operations;

The valuation method to determine the share price would vary between companies. One way could be based on the financial performance of the company. Using the financial statements as the guide, the Board may perform a quantitative analysis to determine a proportionate share pricing. At the same time, there are also some qualitative analysis that a company may want to use. The prospects, the risks associated with the company, issue of control etc.

In determining the share pricing, the Board must also consider all issues and act in the best interest of the company

Hello everyone we are back! Today we want to share detail about one of the Company Act change. This is for Annual Genaral Meeting (AGM) before and after updated one.

Under the section 143(1) of the Companies Act 1965, all new Companies established in Malaysia is required to hold its first Annual General Meeting (AGM) within eighteen (18) months from the date of incorporation of the Company.

According to the Section 169(1), the Board of Directors are to table the Audited Financial Statements upon the AGM within the period stipulated above or within six (6) months from the date of its financial year end, whichever the earlier.

The updated one is under section 340 of the Companies Act 2016, the requirement to hold annual general meeting is only applicable to public companies. Therefore, this requirement does not apply to a private company which is a subsidiary of a public listed company.

Failing to comply any of the above sections will result in fine and penalty imposed by the SSM. Thus, it is important for all directors to understand their rights and responsibilities in complying the above requirements to avoid any unnecessary charges by the SSM.

We live in country which is peaceful, independent and harmony, this is because we have laws and rules. In business we also have law and take a look at this information we got from Suruhanjaya Syarikat Malaysia (SSM), also known as Companies Commission of Malaysia. This is Companies Act 2016 new changes replacing Companies Act 1965 which is newly implemented in Malaysia. Its totally free to have some seconds to read this useful information.
