I got this message from a concerned company owner if his company would become inactive because, almost a year after registration, he had not yet secured the contracts he registered it for. Which basically he has been idle.
The answer is no.
A registered company does not become inactive simply because you are not currently doing business.
Whether you are actively trading, still looking for contracts, preparing to launch, or simply registered the company to secure a name for future use, that alone does not make the company inactive.
What you need to pay attention to is compliance, especially your annual returns. Failing to keep up with your required filings over time can result in an inactive status. But the difference here is that your first annual filling is due in 18 months and not a year and can not cause inactive in a short period of time.
So, don't let the fear of “What if I register now and don't start immediately?” stop you from registering when you genuinely need the legal entity.
You may need the company today for a contract, bank account, partnership or simply to secure your preferred name, all valid.
Register when you need to. Just remember to keep the company compliant.
