The Securities and Exchange Commission (SEC) warns the public that Backoffice Associates Philippines is not registered and not authorized to operate as a financing or lending company. Likewise, the mobile application “Atome Loan: Online Lending App” is not a recorded or authorized online lending platform of any SEC-registered entity and is reportedly using the “Atome” name and logo without authority.

The public is strongly advised to avoid transacting with these entities. Dealing with unauthorized lending platforms may expose you to serious risks such as hidden charges, misuse of personal data, abusive collection practices, and possible fraud. Always ensure that both the company and its online lending platform are duly registered with the SEC before engaging in any transaction.

Filing of AFA extended

The filing deadline for the 2025 Annual Financial Statements (AFS) and related reportorial requirements has been 𝗘𝗫𝗧𝗘𝗡𝗗𝗘𝗗. This follows the issuance of Revenue Memorandum Circular No. 30-2026 by the Bureau of Internal Revenue (BIR).

🗓️ Revised Deadlines:
• Annual Financial Statements of All Corporations: 𝗝𝘂𝗻𝗲 𝟭𝟱, 𝟮𝟬𝟮𝟲
• SEC Form 52-AR of Brokers & Dealers: 𝗠𝗮𝘆 𝟭𝟱, 𝟮𝟬𝟮𝟲
• Annual Reports (SEC Form 17-A) with AFS as attachment: 𝗠𝗮𝘆 𝟭𝟱, 𝟮𝟬𝟮𝟲

All corporations are reminded to ensure that submitted AFS are duly received by the BIR.

The Securities and Exchange Commission has extended the temporary use of the 2020 General Information Sheet (GIS) Form for filing through eFAST until 15 May 2026.

Corporations that are still setting up their eSECURE accounts may continue to use the 2020 GIS Form during this extended period.

📰 𝗥𝗘𝗔𝗗: The Securities and Exchange Commission (SEC) is looking to enforce a stricter limit on interest rates and other fees imposed by lending and financing companies, as part of its intensified campaign to protect borrowers from predatory lending while ensuring the viability and competitiveness of legitimate lenders.

The SEC on October 30 issued for public comment the draft memorandum circular on Recalibrated Ceilings on Interest Rates and Other Fees Charged by Financing Companies, Lending Companies and their Online Lending Platforms.

Under the proposed SEC rules, the ceiling on interest rates and other fees will apply to unsecured general-purpose loans that do not exceed the amount of P20,000.00 and whose terms do not exceed six months. The regulation will cover all such loan contracts entered into, restructured, or renewed beginning December 1, 2025, whether online or through traditional and offline distribution channels.

📃 𝗦𝗘𝗖 𝗱𝗶𝗿𝗲𝗰𝘁𝘀 𝗱𝗲𝗰𝗹𝗮𝘀𝘀𝗶𝗳𝗶𝗰𝗮𝘁𝗶𝗼𝗻 𝗼𝗳 𝗰𝗼𝗺𝗺𝗼𝗻 𝘀𝗵𝗮𝗿𝗲𝘀

The Securities and Exchange Commission (SEC) has directed all listed companies to discontinue the classification of common shares previously imposed to monitor foreign ownership limits, to ensure efficiency in executing and settling equity trades.

The Commission on August 7 issued SEC Memorandum Circular (MC) No. 10, Series of 2025, providing for the Repeal of the Rules Allowing the Trading of “B” Shares on the Regular Board and Requiring Buyers to Accept either “B” or “A” Certificates.

The guidelines repeal an old rule issued by the Commission back in 1973 to monitor strict compliance with the 40% foreign ownership limit of stocks. Under the 1973 rules, Class A shares can only be issued to Filipino citizens, while Class B shares may be issued to Filipinos and foreigners alike.
