May magagawa ka pa ba kung biktima ka ng tinatawag na double sale?

Ayon sa batas (Civil Code, Art. 1544), ang pagaari o ownership ng isang bagay na ibinenta sa dalawang magkaibang Buyers ay mapupunta sa kung sinoman sa kanila ang unang magtake possession o makakakuha ng bagay na binili nila, in good faith.

Kapag real property naman, halimbawa ay bahay o lupa, ang pagaari o ownership nito ay mapupunta sa kung sinoman sa dalawang Buyers ang mauunang makapagpa-rehistro nito sa Registry of Deeds (ROD) sa kanilang pangalan, in good faith.

(Tandaan, kailangan ay "in good faith" upang magamit ang batas na ito. Dahil kung hindi, kahit una ka pang nakapagpa-rehistro ay maaari kang matalo nung ibang nakabili).

Kung wala naman sa kanila ang nagparehistro sa Registry of Deeds (ROD) ay mapupunta ang pagaari nito sa unang tumira or nagtake possession ng nabiling lupa o bahay.

Kung wala naman daw sa kanila ang nagparehistro o nagtake possession ng nabiling lupa o bahay, mapupunta ang pagaari o ownership nito doon sa kung sinoman sa kanila ang naunang bumili o makapagpapakita ng mas naunang bentahan.

Kaya, balik sa tanong, kung ikaw ay biktima ng double sale, ibig sabihin ay nakabili ka in good faith, halimbawa, ng isang lupa na nauna na palang naibenta sa iba, may magagawa ka pa ba? Ang sagot, base sa batas, ay MAAARING meron pa.

Dismissing an employee is a delicate matter.

It does not only sever the relationship between capital and labor, which is impressed with public interest and thus the State has the right to intervene. It also adversely affects those who are dependent to the employee/s concerned for support.

Having these in mind, the law prescribes certain rules and procedures to observe before an employment may be terminated. These are the [statutory] due process of law requirements, which are divided into two: substantive and procedural due process of law. Both of these due process requirements must be duly complied with otherwise an employer runs the risk of being held liable for liquidated damages, even if the employees concerned are later on found guilty of committing an act constituting a just cause for termination.

So, a company should refrain itself from falling into a costly misstep of precipitately terminating the employment of those suspected of committing unlawful act/s that may be incompatible with company rules or values.

Sa isang decision ng korte, may isang Buyer na gusto ay ilipat na muna ang rehistro ng titulo sa kanyang pangalan bago niya bayaran ang balanse na P10,215,000.00 (94.58%) ng presyo ng kanyang binibiling pagaari.

Ayon sa korte, hindi pangkaraniwang ang gusto niyang mangyari. Kung nais daw niya makasigurado na hindi siya lolokohin ng Seller ay ilagay muna niya sa escrow ang balanse ng kabayaran habang hindi pa nalalakad o nai-issue ang ang bagong titulo ng lupa sa kanyang pangalan.

Ito ang dapat na binabayaran ng Seller

Ang 6% Capital Gains Tax (CGT) ay isang income tax, kaya ito ay dapat binabayaran ng Seller dahil tax ito sa kinita niya sa naging bentahan. Subalit, maaaring pagusapan sa kontrata kung sino sa kanila ang kailangang magbayad nito.

Paano ngayon kung walang nakalagay sa kontrata kung sino ang dapat na magbayad ng 6% Capital Gains Tax? Ang sagot ay babalik tayo sa General Rule na Seller ang dapat na magbayad nito. Subalit, ayon sa Korte Suprema, maaaring hawakan o i-retain ng Buyer ang halaga pambayad sa 6% Capital Gains Tax dahil siya ang mas interesado na mabayaran ito. (Tomas K.
