Did you know that as a board member of a Polish sp. z o.o., your private savings and assets could be on the line for the company's debts? 🇵🇱🏢

Many directors mistakenly believe that a limited liability company fully protects their personal wealth. However, under Article 299 of the Polish Commercial Companies Code (KSH), if the company cannot pay its debts, board members become personally, jointly, and unlimitedly liable.

Here are three harsh realities every director needs to know:
❌ Resigning doesn't save you. You remain liable for debts that arose during your term.
❌ "I didn't handle the finances" is not a legal defense. Every director has a duty to monitor financial health.
❌ Tax debts count too. The tax authority can pursue your private estate for unpaid VAT or CIT.

The good news? You can protect yourself by taking prompt action, such as filing for insolvency within the strict 30-day deadline.

Don't wait for a crisis. Read our comprehensive guide to understand your risks and discover the 3 legal defenses available to you:

Is your business compliant with Poland’s MDR rules? 🇵🇱

Many companies mistakenly believe that Mandatory Disclosure Rules (MDR) only apply to the "big players." In reality, even mid-sized companies (sp. z o.o.) engaged in cross-border transactions can face massive penalties—up to PLN 10 million!

Whether you are a Promoter, User, or Facilitator, the clock starts ticking the moment a tax arrangement is made available. Missing the 30-day deadline is a risk you can’t afford.

In our latest guide, we break down:
✅ What counts as a reportable tax scheme.
✅ The difference between Domestic and Cross-border schemes.
✅ Common pitfalls (like the MDR-3 signature rule).
✅ How to protect your business from criminal fiscal sanctions.

Don't let "hallmarks" catch you off guard. Read the full analysis here:

Running a sp. z o.o. in Poland? You might be leaving money on the table.

From 2026, the depreciation cap for combustion cars drops to just PLN 100,000 — down from 150,000. That's a major hit to your deductible costs if you're leasing or buying a company car this year.

But cars are just one piece of the puzzle. Our latest guide breaks down:

Your Polish sp. z o.o. might be paying too much tax. Here's why 👇

Estonian CIT lets you keep 100% of your profit in the company — with 0% corporate income tax. No monthly advances. No quarterly payments. Nothing — until you decide to distribute.

When you do pay out a dividend, the combined rate drops to just 20% (small taxpayer) or 25% — compared with up to 34.39% under standard CIT.

On PLN 1,000,000 of profit, that's up to PLN 93,900 saved.

But it's not for everyone. If you distribute all profit annually, have corporate shareholders, or run lots of related-party transactions — standard CIT may actually be cheaper.

We break down who wins and who doesn't in our full guide ⬇️

55% of small companies in Poland choose quarterly CIT advances over monthly. Are they right?
It depends. If your revenue is seasonal or you're in your first year of business, quarterly payments let you hold onto cash longer — just 4 payments instead of 12. But if your income is steady, monthly advances might actually save you from a painful lump sum at the end of each quarter.
A few numbers worth knowing for 2025:
→ Small taxpayer threshold: PLN 8,569,000 (drops to 8,517,000 in 2026)
→ Late payment interest: 14.5% per year
→ If your year-to-date tax is under PLN 1,000 — you don't have to pay at all
We put together a full comparison with deadlines, scenarios, and the 3 most common mistakes we see after handling 500+ companies.

🇵🇱 Starting a Business in Poland? JDG vs. LLC – Don't Make a Costly Mistake! 🚫

Are you an expat planning to open a company in Poland? Many foreigners assume they can easily open a Sole Proprietorship (JDG) because it's "cheaper." ⚠️ The Reality: Unless you are an EU citizen or hold a Pole's Card, you might be legally blocked from this option!

Why is a Limited Liability Company (Sp. z o.o.) often the better choice? ✅ Access: Available to every foreigner. ✅ Safety: Your private assets are protected (Limited Liability). ✅ Credibility: Easier to get loans, leasing, and B2B partners.

We’ve analyzed over 500 cases to help you choose the right path. Check our full comparison guide covering taxes, ZUS, and hidden costs! 👇
