Assessment of the Functionality of the Sierra Leone Stock Exchange (SLSE)

1. Existence of the Sierra Leone Stock Exchange Market

The Sierra Leone Stock Exchange is the official securities market in Sierra Leone. It was established on 17 July 2009 in Freetown to facilitate the buying and selling of shares, bonds, and other financial securities. The exchange was created to support capital formation, encourage investment, and promote economic growth in the country.

Functions of the Stock Exchange

Provides a market for buying and selling securities.

Enables companies to raise long-term capital from investors.

Promotes savings and investment.

Enhances transparency and corporate governance.

Supports economic development through efficient allocation of capital.

---

2. Companies Listed on the Sierra Leone Stock Exchange

The Sierra Leone Stock Exchange remains relatively small, with only a few listed companies. As of recent reports, the main listed companies include:

1. Rokel Commercial Bank

2. First Discount House Limited

3. Commerce and Mortgage Bank (SL) PLC

Reports indicate that only about three companies were listed on the exchange in recent years, reflecting the limited development of the country's capital market.

Challenges Affecting the Market

Few listed companies.

Low trading activity and liquidity.

Limited investor participation.

Low public awareness of stock market investment.

---

3. Procedures for Listing a Company on the Sierra Leone Stock Exchange

According to the Guide to Listing on the Sierra Leone Stock Trading Facility, a company seeking listing must apply through a registered dealing member (stockbroker). The company is required to submit detailed information including:

Listing Requirements

1. History of the company.

2. Audited financial statements for the last three years.

3. Description of products and services.

4. Names and profiles of directors.

5. Names and shareholdings of shareholders owning more than 10% of shares.

6. Directors' shareholdings.

7. Existing capital structure and amount of funds to be raised.

8. Detailed plan for the use of funds.

9. Five-year financial projections (cash flow, income statement, and balance sheet).

10. Disclosure of risk factors.

11. Due diligence certificate from a registered dealing member.

Listing Process

1. Appointment of a registered broker/dealing member.

2. Preparation and submission of listing documents.

3. Review of the application by the Exchange and regulators.

4. Approval of the listing application.

5. Public offering of shares (if applicable).

6. Admission of the company's securities for trading on the Exchange.

---

Conclusion

The Sierra Leone Stock Exchange exists as the country's formal capital market and plays an important role in mobilizing investment funds. However, its functionality is constrained by a small number of listed companies and low trading volumes. The exchange requires companies seeking listing to satisfy financial, governance, and disclosure requirements, thereby promoting transparency and investor confidence.

Recommendation: The Government, the Securities and Exchange Commission, and the Stock Exchange should intensify investor education and encourage more companies to list their shares to improve market depth and liquidity.
