Nocera Secures up to $300 Million Private Placement to Support Digital Asset Strategy and Strategic Acquisitions

TAIPEI, TAIWAN / ACCESSWIRE / November 3, 2025 / Nocera, Inc. (NASDAQ: NCRA) (“Nocera” or the “Company”), a company focused on strategic acquisitions and aquaculture operations, announced today that it has entered into a securities purchase agreement with a U.S.-based institutional investor for the private placement of up to $300 million in senior secured convertible notes (the “Facility”).

announced on Tuesday that it has entered into employment agreements with Andy Jin , respectively. These agreements will take effect on September 2 and will have an initial term of two years.

Each executive will receive an annual salary of $240,000 and receive 60 fully vested common shares under the Company's 2018 equity incentive plan, subject to applicable securities laws.

The agreement includes a clause that if any of the following milestones are achieved, the annual salary will be increased to 600,000 USD. These milestones include the completion of the acquisition by the Company, the raising of at least $1,500M in aggregate funds, the receipt of at least $500M in proceeds from the exercise of its Class B warrants, or the closing price of the Company's common stock on the Nasdaq Capital Market at or above $2.00 for five consecutive trading days.

Both executives are eligible for discretionary bonuses and participation in company benefits programs. The agreement also includes confidentiality clauses, intellectual property assignments, non-solicitation, non-defamation, and termination clauses, including termination for cause.
