Two years ago you spent $99 and formed an LLC, because it was fast and everyone said to.
It worked. It still works.
Then someone wants to write you a check β and their fund can't invest in an LLC. Their LPs don't permit it. Converting is possible, but it costs real money, takes real time, and can create a tax event nobody budgeted for.
Nothing you did was wrong. It was just decided by default instead of on purpose.
That's the difference this Wednesday is about.
Start It Right: Entity Selection, Formation & Governance opens Show-Me Founders β a year-long series for Missouri founders β with Lindsay Karas Stencel, Partner at Thompson Hine. She's overseen more than 1,000 startup financings. She knows exactly which formation decisions show up as problems eighteen months later, because she's been the one cleaning them up.
If you formed your company in an afternoon and haven't thought about it since, this is the hour that tells you whether that's fine or expensive.

Founders β what's a "we'll fix it later" decision that came back on you? π
