2024! What a whirlwind of a year. As we near the end of the 2024 year, the Law Office of R. Clark Allemang, II, Attorney at Law, P.A. would like to send all of my client's, families, and friends, the warmest of Holiday wishes for a Merry Christmas and a Happy New Year! With the approach of 2025, we will move forward with renewed hope! My office will be closed beginning at 5:00 p.m. on Monday, December 23, 2024, for our annual Holiday Season vacation. We will reopen to the public for the New Year on January 2, 2025. I look forward to continuing to serve your legal needs in the upcoming year! Corporate Transparency Act – Beneficial Ownership Information Reporting


Dear Valued Customer,

In 2021, Congress passed the Corporate Transparency Act (CTA) on a bipartisan basis. This law creates a new beneficial ownership information reporting requirement as part of the U.S. government’s efforts to make it harder for bad actors to hide or benefit from their ill-gotten gains through shell companies or other opaque ownership structures. Effective January 1, 2024, many companies in the United States will have to report information about their beneficial owners, i.e., the individuals who ultimately own or control the company, to the Financial Crimes Enforcement Network (FinCEN).

Note that penalties for willfully violating the CTA’s reporting requirements include (1) civil penalties of up to $500 per day that a violation is not remedied, (2) a criminal fine of up to $10,000, and/or (3) imprisonment of up to two years.
