Be careful before investing in a new business!

Over the years, we have repeatedly been contacted by individuals seeking legal advice and assistance because they have given money to someone with the understanding that they were investing in an enterprise or entering into a partnership that would eventually result in a return or benefit once the endeavor started generating profits. The story we have heard over and over is that person A – often located somewhere outside of Alaska -- gave thousands of dollars to person B (in Alaska) to get the business off the ground, only to have person B eventually stop answering questions and essentially “ghosting” person A after person A tries to get answers about what the money has been used for and why there have been no profits generated yet. Sadly, these situations often lack any written agreement establishing the parties’ expectations and duties with respect to the investment or joint enterprise. Additionally, the person who provided the cash capital has often not made arrangements to establish any legally enforceable security interest in the property purchased for the joint enterprise or in the property that the other “partner” owns. The failure to memorialize a business agreement in writing and to insist on appropriate security agreements can, under some circumstances, make it impossible for the person who contributed money to the joint enterprise to hold the other “partner” accountable for misusing or even stealing the money that was intended to be used for the business endeavor.
