We help businesses grow through acquisition, understand and improve their valuation, plan for their owner's eventual exit, and market and sell the business upon the owner's exit.

Why Your CPA Should Know You're Thinking About Selling
If a business owner tells me a sale may be three years away, one of the people I want involved early is the CPA.

Tax strategy, reported earnings, discretionary expenses, entity structure and financial presentation can all affect a future transaction.

The goal is not for the broker to replace the CPA—or the CPA to replace the broker. The goal is to coordinate early enough that today's decisions do not create tomorrow's problems.

A Business Valuation Is More Than a Multiple

“What multiple do businesses like mine sell for?”

It's a reasonable question—but it is only the beginning.

A meaningful valuation considers earnings, add-backs, trends, risk, comparable transactions, industry conditions and the specific characteristics of the business.

Two companies in the same industry with the same revenue can have very different values.

I’m speaking to the Rotary Club of Lakeland TigerTown tomorrow at noon on:

Is Your Business Too Dependent on You?

If you own a business and feel like you can never really step away from it, this conversation is for you.

We’ll talk about identifying where the business depends too heavily on its owner and some practical steps for building systems, developing employees and transferring responsibility.

The result can be a business that's easier to run today and more transferable someday.

What Exactly Is Included in an Asset Sale?

When someone says, “I'm buying the business,” what exactly does that include?

Furniture and equipment? Inventory? Phone numbers? Websites? Customer lists? Contracts? Vehicles? Accounts receivable? Cash?

Those details matter.

Most small-business transactions I work on are structured as asset sales, and clearly defining what is—and is not—included helps prevent surprises later.

I’ll be speaking to the Rotary Club of Lakeland TigerTown next Wednesday about a problem many successful business owners eventually encounter:

Is Your Business Too Dependent on You?

When customers, employees and important decisions all depend on the owner, it can make the business harder to run—and eventually harder to transfer.

We’ll talk about practical ways to reduce that dependence and build a business that can operate successfully without requiring the owner to be involved in everything.

Whether you’re thinking about selling someday, passing the business to family, or simply getting some of your time back, the same work can make your business stronger.

I’m looking forward to joining the North Tampa Bay Chamber tomorrow for an episode of its Chamber Chatter podcast.

We’ll be talking about business ownership, what makes a business valuable and transferable, and some of the things owners can do long before they’re actually ready to sell.

I’ve enjoyed getting more involved with the North Tampa Bay business community, and I appreciate the Chamber inviting me to join the conversation.

I’ll share the episode here when it’s released.

Negotiation Rule: Don't Win the Argument and Lose the Deal

Business-sale negotiations can become personal very quickly.

The seller may hear criticism of the business they spent decades building. The buyer may feel every unanswered question represents risk. Both sides can become focused on “winning” a point instead of getting to closing.

Good negotiation requires knowing what matters, what does not, and where compromise creates a better outcome for everyone.

One of the best comments during a succession-planning panel I participated in recently came from a former construction-company owner:

“Sell your business when you don't need to sell it—not when you have to sell it.”

That's worth remembering.

Too many owners wait until they're burned out and ready to leave. At that point, there's very little time to fix owner dependence, clean up financial reporting, develop management, diversify customers or make the company easier for someone else to take over.

If you start several years ahead, you can do something very different:
Build the business you eventually want to sell instead of having to explain the business you happen to have.

And even if you don't ultimately sell, most of those improvements make the company stronger and easier to operate today.

I enjoyed discussing this and other succession-planning issues with construction industry professionals and my fellow panelists.

If you stepped away for three weeks tomorrow, what part of your business would have the hardest time operating without you?

The Broker's Fee Is the Easy Cost to See

When an owner considers selling a business without a broker, the commission is easy to calculate.

The costs that are harder to see are mispricing the business, exposing confidential information, spending months with an unqualified buyer, negotiating without market context—or watching a transaction collapse after months of work.

A broker should be worth more than the broker costs. Otherwise, why hire one?

Want to Buy a Business? Get on the List.

A lot of good businesses never reach the people who would be the best buyers for them.

If buying a Florida business is part of your plan, tell me what you are looking for—industry, geography, price range and the type of opportunity that interests you.

That gives me a chance to connect the right buyer with the right opportunity when it becomes available.
