Selling 5+ million in revenue business has its own specific risks, deal requirements, and needs. It's in that sweet spot of small enough that many buyers feel comfortable coming in to run it, while also being big enough to demonstrate a proven track record of profitability. This unique combination is why it's critical to ensure that you have an M&A advisor that has the know-how to guide you through the sell-side process quickly and efficiently.

Entrepreneur-driven, and single-owner, businesses represent a unique type of client in the mergers and acquisitions space. Unlike large companies that typically come with a nation-wide consumer consumer and relatively strong financials, these smaller businesses, while sharing some qualities of the former, often have more nuance to their sale.

Financials may have underlying causes that are not apparent at first glance, and the upsides of such a business are not always as immediately clear. However, these businesses are still lucrative investments for both buyers and sellers, and it is in providing the full picture effectively where the best returns on the sale are found.

As M&A advisors, we know what different kinds of buyers for looking for and how to present the information they need in the most compelling way. This is what makes working with entrepreneurs so exciting. Every deal is different, and we take great pride in helping our clients craft the story for buyers that is compelling, informative, and effective. When asking if an M&A advisor is helpful, this is one area where we 100% believe we can make a difference.

Sellers, and most M&A advice, typically focus on the pre-sale and the in-progress periods of the sell-side process. However, one thing that we see less often is discussion around the considerations that sellers should have post-sale. There are numerous possibilities, and it is easy to lose sight of what you want to do after the deal is done when you are in the weeds trying to sell the business in the first place.

For example, a seller will need to decide what level of involvement, if any, to have in the business. Perhaps they want to remain in a consultancy role, or it could be the case that they want no involvement with the business going forward. This is complicated by factoring in the desires of the buyer, who may want a seller to remain involved for some period of time.

This is only one of many factors that a seller needs to consider as part of their plans to sell a business. Our most recent blog discusses the most common considerations that sellers should have around their post-sale futures so they can be better prepared to sell.

One thing that we find that hurts the sell-side process is a lack of focus on the end goal: selling the company. It can be very easy for a business owner to get ahead of themselves or start focusing on what-ifs and other things that ultimately do not serve the final goal. This is a perfectly understandable state of events due to just how many moving pieces a sale can have, and that's one area that we try to assist as M&A advisors.

One aspect of the mergers and acquisitions process that we most enjoy is the sense of adventure that comes with either buying or selling a business. After all, the process is a bit like setting off into the unknown. Anything can happen, and its that multitude of possibilities that makes the M&A process feel so adventurous at times.

At the same time, this very feeling is one thing that we see people say makes the endeavor feel overwhelming. There are a lot of different things to get organized ahead of time, and it can be difficult to know where to start. Part of any good advisors job is to act as a guide of sorts, providing the right know how to help the client accomplish their goals.

Building a business is an adventure, but selling it could be your next one.

One aspect of Mergers and Acquisitions that we love is the people-centric nature of the sell-side process. This is one thing that often gets overlooked when talking about M&A advisory, but we are firm believers that it is only by focusing on the people involved that a deal can be successful.

Every business owner pours a lot of themselves into building the business and the decision to sell is often accompanied by hopes, fears, and expectations. At the end of the day, a good M&A advisor will take all these things into account and create a plan that matches what that particular seller needs at that moment.

High sales prices are ultimately the goal, and are very flashy, but a client who is fully satisfied with the deal they received is the ultimate testament to what an advisor can do.

The perceived difficulty of selling a business comes from the multiple moving parts that must align for a sale to succeed. Finances need to be consolidated, assets inventoried, and the business marketed to potential buyers, amongst other things. We often see people overwhelmed by what appears to be a never-ending list of things to coordinate.

While M&A is never truly simple, the goal of advisors is to use their expertise to organize the entire sell-side process into a clear, actionable plan. This is one of the reasons why we believe that an advisor on a seller's team is so critical. They can take a complicated process and simplify it enough to get the ball rolling.

We love this article so much we're throwing back to it. According to a recent Forbes article, M&A dealmaking remains strong in 2026 despite global uncertainty. Driven primarily by AI adoption, and a notable shift towards robustness in the planning of AI adoption, M&A activity in 2026 has already surpassed $3.2 trillion.

One of the key themes for the year is that companies are increasingly shifting focus towards building asset resilience and away from prioritizing macroeconomic factors. This, combined with a rapidly evolving business landscape, is driving activity despite global factors.

We believe this represents a positive environment for sellers, especially those with a strong AI integration. There are reasons to be cautious, especially for smaller businesses, but seller prospects are smaller than popular opinion would lead you to believe.
