Mitel Completes Acquisition of Toshiba Unified Communications Systems Business Assets
Provides seamless path forward for Toshiba customers and partners with global communication and collaboration market leader

OTTAWA, July 05, 2017 (GLOBE NEWSWIRE) -- Mitel® (Nasdaq:MITL) (TSX:MNW), a global leader of enterprise communications, today announced that it has completed the acquisition of certain assets, inventory and support obligations from Toshiba Corporation's Unified Communications business. The announcement follows the Memorandum of Understanding signed by the two companies on May 11, 2017.

Effective immediately, Toshiba customers and partners have a clear path forward with Mitel, including ongoing access to existing Toshiba products and services. In addition, to ensure business continuity, a key group of Toshiba sales, support and R&D employees will join Mitel and will continue to provide support to existing Toshiba customers and partners. The transaction also includes a transition services agreement to provide product and service continuity.

The transaction reflects Mitel's strategy to focus on expanding its position in the UCC market as digital transformation accelerates demand for cloud-based business communications solutions and business productivity applications are reshaping organizations globally.

REGARDING MITEL CLOUD SERVICES INC.’S ACQUISITION OF TAIS VIPEDGE CLOUD SERVICES
Dear Valued Dealer:
Mitel Cloud Services, Inc. (“Mitel”) and Toshiba America Information Systems, Inc. (“TAIS”) are pleased to announce that Mitel has acquired TAIS’ unified communication service customers as part of an asset transfer transaction that recently closed on June 30, 2017. As a result of this transaction, Mitel will replace TAIS as the current service provider effective July 1, 2017 and Mitel will assume responsibility for all services previously provided by TAIS.
However, in order to ensure a smooth transition, TAIS will serve as a billing agent and manage customer relationships on behalf of Mitel during an interim period. As a result, during the interim period, your customers will continue to receive billing from TAIS.
Please rest assured that the transaction will not affect the services your customers currently receive, nor will there be any changes to your role as servicing dealer in providing support services to your customers. The agreement between Mitel and TAIS has been structured so that the transfer of service will be virtually seamless to you and/or your customers. After the transaction, your customers will continue to receive service at the same rates, and terms and conditions that they currently enjoy. Mitel will not impose any charges for the transfer of service and no action is required from you or your customers.
Your customers do have the right to select another service provider for their communications services. If they choose to switch to another provider, they may incur a fee from that carrier for the transfer of the service. Unless they have made arrangements to switch their service to another provider before the date provided above, their services will be automatically transferred to Mitel. Note that as part of TAIS’ original wind-down communication in March 2017, TAIS had temporarily waived early cancellation charges for your customers under Section 10.2 of the VIPedge terms and conditions. Effective July 10, 2017, Section 10.2 including the early cancellation charges will be reinstated and enforced by Mitel.
TAIS is responsible for handling any complaints filed, or otherwise raised, with the FCC prior to or during the transfer, and Mitel shall be responsible for handling any complaints filed, or otherwise raised, with the FCC after the transfer.
