Under the new rules, the required independent valuation must be:

• Requested by the lender
• Prepared for the lender
• Completed by a qualified valuation professional

A valuation prepared specifically for the buyer or seller cannot substitute for the lender's required valuation.

This may be one of the most important changes for business sellers. Every Small Business Administration-financed ownership change will now require an independent business valuation prepared for the lender.

Previously, lenders could perform certain valuations themselves on transactions below $250,000.
That exception is going away.

Small Loans Will No Longer Be an Acquisition Shortcut

Buying a smaller business? The size of the deal does not eliminate the new requirements.
Under the October 1 rules, the Small Business Administration's smaller 7(a) loan program may no longer be used for a change of ownership.

Acquisitions must follow the standard lending requirements, including the new valuation rules.
That could mean more documentation for smaller transactions than buyers and sellers have experienced in the past.

Business buyers have another financing option under the new rules. Asset purchases are once again included in eligible ownership-change transactions.

An asset purchase generally means the buyer purchases all or substantially all of the business assets and continues operating the business. For buyers and sellers, this creates another possible way to structure a transaction.

Could an employee buy part of the company they work for? Yes—but there are limits.

Under the new rules, an employee who is not already an owner may acquire less than 50% of the total ownership in certain partial ownership transactions.

The employee also cannot become the company's largest direct or indirect owner under this structure.

If those requirements are not met, the transaction may have to be treated differently.

The new Small Business Administration rules create specific requirements for owner buyouts.
One important change: some of the old tests for determining the buyer's required cash contribution are going away.

Instead, the lender may have more responsibility for determining whether the business has enough cash and working capital after the transaction.

Already own a business and thinking about acquiring another one? The new rules create specific requirements for a "Business Expansion."

Among other requirements, the buyer must have operated the existing business for at least two full fiscal years under the current ownership, and the businesses must fall within the same qualifying industry group.

That means not every acquisition by an existing business will automatically qualify as an expansion.
