Who should file:
A "BOIR" (Beneficial Ownership Information Report) needs to be filed by any company considered a "reporting company" under the Corporate Transparency Act, which generally includes most privately held domestic corporations, limited liability companies (LLCs), and foreign companies registered to do business in the United States, unless they qualify for a specific exemption; essentially, any entity formed by filing a document with a Secretary of State's office must file a BOIR.

Most non-profit organizations are generally exempt from filing a Beneficial Ownership Information Report (BOI) because of the Corporate Transparency Act (CTA), meaning they do not need to file a BOIR; this is because they are considered tax-exempt under Section 501(c) of the IRS code and typically do not have identifiable "beneficial owners" like a for-profit business would.
Key points about non-profits and BOI reports:
*** Exemption: Most non-profits with 501(c) tax-exempt status are exempt from filing a BOI report.
